requires the council convene not less than 6 days nor more than 20 days
following the election for purposes of canvassing the returns of the election

At this time the public has the privilege to address the council with requests,
communications, comments or suggestions relating to city business that are not listed
on the agenda All speakers must have already submitted a written "Request to Speak"
form to the city clerk no later than the conclusion of the city manager's report portion of
the agenda If there is a group speaking on the same item, they should select a
spokesperson All such remarks shall be addressed to the council as a whole and not to

Junction City Council Chambers pursuant to the notice required

AWARDS, PRESENTATIONS AND PROCLAMATIONS
Mayor Insalaco read a proclamation designating May 19 through
May 25 as National Public Works Week and presented it to
Engineering Administrative Assistant Kathryn Broehm.
ANNOUNCEMENT OF CURRENT EVENTS
Councilmember Waldron announced last Saturday American Legion
Post 27 hosted the Americanism Dinner where they named the

outstanding police officer, firefighter and teacher of the year
and introduced the high school students going to Boys State.
The mayor emceed it and it was nice to see these people
recognized.
Councilmember Waldron announced Habitat for Humanity
rehabilitated a home on Friar that involved all the neighbors,
rehabbing the house for half the cost of a new house. They
presented another plaque to the city for its participation.
Councilmember Evans announced the past weekend they had a lot of
events on Saturday. The Mountain Health and Wellness event was
triple the size of last year with various activities.
Councilmember Waldron announced that Earth Heart Park hosted the
National Day of Prayer on last Thursday. It was very well
attended.
Councilmember Evans announced on May 11 at Prospector Park a
joint effort between parks and recreation, Friends of Apache
Junction and the Mesa Hohokams will bring the Chicago Cubs out
to meet the little league players .
CITY MANAGER' S REPORT
City Manager George Hoffman commented on the work done by the
public works department, a plaque presented to the city by
Apache Junction Townhomes, read comments from Recreation
Superintendent Liz Langenbach on April Pools Day and read a
letter received from an attendee of the event.
Apache Junction Fire District Chief Bourgeois commented on April
Pools day and the warm weather ahead, then introduced Apache
Junction Fire District Public Education Coordinator Tina Gerola
who gave a presentation on National Drowning Prevention Month,
including a short video produced by the district.
Vice Mayor Dietz asked if the video could be put on the city
website.
City Manager George Hoffman stated it is on the website.

Assistant to the City Manager Matt Busby gave a brief update on
current legislation issues that impact the city.
Councilmember Serdy asked if he could follow some federal
legislation that might be affecting us also. The senate just
approved the Internet sales, which still has to pass a couple of
other things. He believes it is for businesses that do more
than a million dollars of business. If one of our citizens
would buy something from one of these major companies, the city
would then get checks coming in.
City Clerk Kathleen Connelly stated there are occasions now when
we get checks for those purposes and we have to return them.
Vice Mayor Dietz asked why we have to return them.
City Clerk Kathleen Connelly stated because we do not have the
legal ability to collect those taxes .
City Attorney Joel Stern stated it is not a legal tax yet.
City Clerk Kathleen Connelly stated the tax does not exist yet.
Assistant to the City Manager Matt Busby stated it passed the
senate on Monday. It is called the Marketplace Fairness Act.
It now goes through the house but there is no guarantee it will
pass in the house. That is the current status as he knows it,
but he can include it in the future.

stated she came to tell them the menu in person as it is rather
lengthy.

she has something new coming.

stated they have a Serdy special . It is a pizza with extra
mushrooms. They have a rib special on Saturday nights for the
summer. And they have ravioli.
Mayor Insalaco opened the
public hearing on the item. There being no one wishing to speak
he closed the public hearing and reopened the item to council
discussion. There being no further discussion, he called for a
motion.

the parcel is.

Schmid stated he believes each parcel is about 5 acres so the
entire area is about 15 acres.
Councilmember Barker asked
him to go back to the map.
Vice Mayor Dietz asked what
part of the yellow is on Roundup. He commented the yellow is
what is being extinguished.

Schmid stated that is correct. The south side of Roundup is
already a dedicated right-of-way, as is the east side of Main.
Councilmember Barker asked
what the red is.
Senior Project Engineer Emile
Schmid stated the red are existing federal patent easements that
still remain in place.
Vice Mayor Dietz commented he emm
had mentioned on the next slide that Roundup was also in there.
He then corrected himself when he realized it was saying from
Siesta Street to Roundup.

Schmid stated it is Saguaro Street from Siesta Street to
Roundup.
Vice Mayor Dietz commented it
is a shame they cannot do something with the last piece of the
stagecoach trail.

commented what they are doing is reverting back to the original
concept of police chief.

Arizona Revised Statutes §16-642 (A) requires that the appropriate governing body (City
Council) convene not less than six days nor more than twenty days following an election
for purposes of canvassing the returns of the election
The information that should be contained in the canvass of votes for the general election
includes the total number of ballots cast, the number of ballots to be verified, the number
of voters determined to be ineligible, the number of votes cast for each candidate and the
names of those elected Even though the law does not specify that the canvass must be
in the form of a resolution, this has been the accepted format in Apache Junction as well
as most other Arizona cities and towns Because of the statutory time frame allowed for
verification of conditional and provisional ballots, the resolution may not be available until
the June 3 work session

A RESOLUTION OF THE MAYOR AND CITY COUNCIL OF THE CITY
OF APACHE JUNCTION, PINAL AND MARICOPA COUNTIES,
ARIZONA, DECLARING AND ADOPTING THE RESULTS OF THE
GENERAL ELECTION HELD ON MAY 21, 2013 .
WHEREAS, the City of Apache Junction, Pinal and Maricopa
Counties, Arizona, did hold a general election on the 21st day of
May, 2013 , for the election of two councilmembers; and
WHEREAS, pursuant to A R. S. § 16-642 (A) , the election returns
as indicated on Attachments A-1 through A-4 entitled "City of
Apache Junction, May 21 , 2013 General Election Cumulative Report
and Statement of Votes Cast" have been presented to and have been
canvassed by the City Council .
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of
the City of Apache Junction, Pinal and Maricopa Counties, Arizona,

SECTION 1 That the total number of valid ballots cast at
the general election as shown by the poll lists was 3, 186

RESOLUTION NO. 13-19
A RESOLUTION OF THE MAYOR AND CITY COUNCIL OF THE CITY
OF APACHE JUNCTION, ARIZONA, AUTHORIZING THE CITY TO
ENTER INTO AN INTERGOVERNMENTAL AGREEMENT WITH ARIZONA
DEPARTMENT OF TRANSPORTATION FOR HIGHWAY SAFETY
IMPROVEMENT PROGRAM GRANT MONEY.
WHEREAS, Congress established the Highway Safety
Improvement Program ("HSIP") for the specific purpose of
achieving a significant reduction in traffic fatalities and
serious injuries on public roads; and
WHEREAS, the State and the City have identified systematic
improvements within the City as being eligible under this
program; and
WHEREAS, the purpose of this joint effort is to allow the
State to acquire federal funds for the design and construction
of Ironwood Drive Safety Pullouts Phase 1 (the "Project") ; and
WHEREAS, the State shall be the designated agent for the
City; and
WHEREAS, the estimated design total cost of the Project is
$60, 000 . 00, including Civil Engineering Design and State Design
Review, which represents 100% funding and the construction total
cost of the Project is $246, 876. 00; and
WHEREAS, Federal-aid funds will contribute $56, 580 . 00 for
design and $232, 804 . 00 for construction of the Project; and
WHEREAS, the required City leftover matching funds for
design of the Project is $3, 420 . 00 and construction cost of the
Project is $14, 072 . 00; and
WHEREAS, the attached written agreement ("IGA/JPA 13-
0000112-I") sets forth the financial and administrative
conditions for design of the Project.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY
COUNCIL OF THE CITY OF APCHE JUNCTION ARIZONA, AS FOLLOWS:
1) The Mayor and City Council hereby approve the attached
intergovernmental agreement between the City of Apache

THIS AGREEMENT is entered into this date , 2013, pursuant to
the Arizona Revised Statutes §§ 11-951 through 11-954, as amended, between the STATE OF
ARIZONA, acting by and through its DEPARTMENT OF TRANSPORTATION (the"State" or"ADOT")and
the CITY OF APACHE JUNCTION, acting by and through its MAYOR and CITY COUNCIL. (the "City")
The State and the City are collectively referred to as"Parties"
I. RECITALS
1 The State is empowered by Arizona Revised Statutes § 28-401 to enter into this Agreement and
has delegated to the undersigned the authority to execute this Agreement on behalf of the State
2 The City is empowered by Arizona Revised Statutes § 48-572 to enter into this Agreement and
has by resolution, a copy of which is attached hereto and made a part hereof, resolved to enter into this
Agreement and has authorized the undersigned to execute this Agreement on behalf of the City.
3 Congress has established the Highway Safety Improvement Program (HSIP) as a core Federal-
aid for the specific purpose of achieving a significant reduction in traffic fatalities and serious injuries on
public roads The State, the Federal Highway Administration (FHWA) and the City have identified
systematic improvements within the City as eligible for this funding
4 The improvements proposed in this Agreement, hereinafter referred to as the "Project," include
the construction of two (2) safety pullouts along Ironwood Drive with pavement marking upgrade to
thermoplastic The State will advertise, bid, and award the Project.
5 The interest of the State in this Project is the acquisition of federal funds for the use and benefit of
the City and to authorize such Federal funds for the Project pursuant to Federal law and regulations. The
State shall be the designated agent for the City, if the Project is approved by FHWA and funds for the
Project are available
6 The Parties shall perform their responsibilities consistent with this Agreement and any change or
modification to the Project will only occur with the mutual written consent of both Parties

amount and the initial estimate will be de-obligated or otherwise released from the Project The City
acknowledges it remains responsible for, and agrees to pay according to the terms of this Agreement,
any and all eventual, actual costs exceeding the final bid amount.

Agreement Issue the right-of-way clearance after review of the Consultant's right-of-way submittal
d Submit all documentation required to the FHWA containing the above-mentioned Project with

and perpetual maintenance as set forth in this Agreement

maximum federal funds available, it is understood and agreed that the City is responsible for these costs,
payment for these costs shall be made within thirty (30)days of receipt of an invoice from the State

increase the cost of said work required by a change in the extent of scope of the work requested by the

Coordinate with the appropriate State's Right-of-Way personnel during any right-of-way process
performed by the City, if applicable
i Not permit or allow any encroachments upon or private use of the right-of-way, except those
authorized by permit in the event of any unauthorized encroachment or improper use, the City shall take
all necessary steps to remove or prevent any such encroachment or use
j Grant the State, its agents and/or contractors, without cost, the right to enter City Rights-of-
Way, as required, to conduct any and all construction and preconstruction related activities, including
without limitation, temporary construction easements or temporary Rights-of-Entry to accomplish among

k Upon completion of the Project, agree to accept, maintain and assume full responsibility for
said Project in writing
I Pursuant to 23 USC 102(b), repay all Federal funds reimbursements for preliminary
engineering costs on the Project if it does not advance to right-of-way acquisition or construction within
ten (10) years after Federal funds were first made available
III. MISCELLANEOUS PROVISIONS
1 The terms, conditions and provisions of this Agreement shall remain in full force and effect until
completion of said Project and related deposits or reimbursement, except any provisions for maintenance
shall be perpetual, unless assumed by another competent entity Further, this Agreement may be
cancelled at any time prior to the award of the Project construction contract, upon thirty (30) days written
notice to the other party It is understood and agreed that, in the event the City terminates this
Agreement, the State shall in no way be obligated to maintain said Project If the federal funding related
to this Project is terminated or reduced by the federal government, or if Congress rescinds, fails to renew,
or otherwise reduces apportionments or obligation authority, the State shall in no way be obligated for
funding or liable for any past, current or future expenses under this Agreement.
2 The State assumes no financial obligation or liability under this Agreement, or for any resulting
construction Project The City, in regard to the City's relationship with the State only, assumes full
responsibility for the design, plans, specifications, reports, the engineenng in connection therewith and

the construction of the improvements contemplated, cost over-runs and construction claims. It is
understood and agreed that the State's participation is confined solely to securing federal aid on behalf of
the City and the fulfillment of any other responsibilities of the State as specifically set forth herein, that
any damages arising from carrying out, in any respect, the terms of this Agreement or any modification
thereof shall be solely the liability of the City and that to the extent permitted by law, the City hereby
agrees to save and hold harmless, defend and indemnify from loss the State, any of its departments,
agencies, officers or employees from any and all costs and/or damage incurred by any of the above and
from any other damage to any person or property whatsoever, which is caused by any activity, condition,
misrepresentation, directives, instruction or event arising out of the performance or non performance of
any provisions of this Agreement by the State, any of its departments, agencies, officers and employees,
AN. or its independent contractors, the City, any of its agents, officers and employees, or its independent
contractors Costs incurred by the State, any of its departments, agencies, officers or employees shall
include in the event of any action, court costs, and expenses of litigation and attorneys'fees
3. The cost of design, construction and construction engineering work under this Agreement is to be
covered by the HSIP funds set aside for this Project, up to the maximum available The City
acknowledges that the eventual actual costs may exceed the maximum available amount of HSIP funds,
or that certain costs may not be accepted by the federal government as eligible for HSIP funds
Therefore, the City agrees to furnish and provide the difference between actual costs and the HSIP funds
received
4 The cost of the Project under this Agreement includes applicable indirect costs approved by the
FHWA
5 The City and State warrant compliance with the Federal Funding Accountability and
Transparency Act of 2006 and associated 2008 Amendments (the "Act"). Additionally, in a timely
manner, the City will provide information that is requested by the State to enable the State to comply with
the requirements of the Act, as may be applicable
6. This Agreement shall become effective upon signing and dating of the Determination Letter by
the State's Attorney General
7 This Agreement may be cancelled in accordance with Arizona Revised Statutes§ 38-511.
8 To the extent applicable under law, the provisions set forth in Arizona Revised Statutes §§35-214
and 35-215 shall apply to this Agreement.
^` 9 This Agreement is subject to all applicable provisions of the Americans with Disabilities Act
(Public Law 101-336, 42 U S C 12101-12213) and all applicable Federal regulations under the Act,
including 28 CFR Parts 35 and 36 The Parties to this Agreement shall comply with Executive Order
Number 2009-09 issued by the Governor of the State of Arizona and incorporated herein by reference
regarding "Non-Discrimination"
10 Non-Availability of Funds Every obligation of the State under this Agreement is conditioned upon
the availability of funds appropriated or allocated for the fulfillment of such obligations. If funds are not
allocated and available for the continuance of this Agreement, this Agreement may be terminated by the
State at the end of the period for which the funds are available. No liability shall accrue to the State in the
event this provision is exercised, and the State shall not be obligated or liable for any future payments as
a result of termination under this paragraph
11 In the event of any controversy, which may arise out of this Agreement, the Parties hereto agree
to abide by required arbitration as is set forth for public works contracts in Arizona Revised Statutes § 12-
1518
12 All notices or demands upon any Party to this Agreement shall be in writing and shall be delivered
in person or sent by mail, addressed as follows

A RESOLUTION OF THE MAYOR AND CITY COUNCIL OF THE CITY
OF APACHE JUNCTION, ARIZONA, AUTHORIZING THE CITY TO
ENTER INTO AN INTERGOVERNMENTAL AGREEMENT WITH ARIZONA
DEPARTMENT OF TRANSPORTATION FOR HIGHWAY SAFETY
IMPROVEMENT PROGRAM GRANT MONEY.
.0. WHEREAS, Congress established the Highway Safety
Improvement Program ("HSIP") for the specific purpose of
achieving a significant reduction in traffic fatalities and
serious injuries on public roads; and
WHEREAS, the State and the City have identified systematic
improvements within the City as being eligible under this
program; and
WHEREAS, the purpose of this joint effort is to allow the
State to acquire federal funds for the design and construction
of Ironwood Drive Safety Pullouts Phase 2 (the "Project") ; and
WHEREAS, the State shall be the designated agent for the
City; and
WHEREAS, the estimated design total cost of the Project is
$40, 000. 00, including Civil Engineering Design and State Design
Review, which represents 100% funding and the construction total
cost of the Project is $319, 265 . 00; and
WHEREAS, Federal-aid funds will contribute $37, 720. 00 for
design and $301, 067 . 00 for construction of the Project; and

WHEREAS, the required City leftover matching funds for
design of the Project is $2, 280 . 00 and construction cost of the
Project is $18, 198 . 00; and
WHEREAS, the attached written agreement ("IGA/JPA 13-
0000112-I") sets forth the financial and administrative
conditions for design of the Project.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COUNCIL
OF THE CITY OF APACHE JUNCTION ARIZONA, AS FOLLOWS:
1) The Mayor and City Council hereby approve the attached
intergovernmental agreement between the City of Apache

THIS AGREEMENT is entered into this date , 2013, pursuant to
the Arizona Revised Statutes §§ 11-951 through 11-954, as amended, between the STATE OF
ARIZONA, acting by and through its DEPARTMENT OF TRANSPORTATION (the "State' or"ADOT") and
the CITY OF APACHE JUNCTION, acting by and through its MAYOR and CITY COUNCIL (the "City").
The State and the City are collectively referred to as "Parties "
I. RECITALS
1 The State is empowered by Arizona Revised Statutes § 28-401 to enter into this Agreement and
has delegated to the undersigned the authority to execute this Agreement on behalf of the State.
2 The City is empowered by Arizona Revised Statutes § 48-572 to enter into this Agreement and
has by resolution, a copy of which is attached hereto and made a part hereof, resolved to enter into this
Agreement and has authorized the undersigned to execute this Agreement on behalf of the City
3 Congress has established the Highway Safety Improvement Program (HSIP) as a core Federal-
aid for the specific purpose of achieving a significant reduction in traffic fatalities and serious injuries on
public roads The State, the Federal Highway Administration (FHWA) and the City have identified
systematic improvements within the City as eligible for this funding
4 The improvements proposed in this Agreement, hereinafter referred to as the "Project," include
the construction of two (2) safety pullouts along Ironwood Drive with pavement marking upgrade to
thermoplastic. The State will advertise, bid, and award the Project.
5 The interest of the State in this Project is the acquisition of federal funds for the use and benefit of
the City and to authorize such Federal funds for the Project pursuant to Federal law and regulations The
State shall be the designated agent for the City, if the Project is approved by FHWA and funds for the
Project are available
6 The Parties shall perform their responsibilities consistent with this Agreement and any change or
modification to the Project will only occur with the mutual written consent of both Parties
7 The federal funds will be used for the scoping/design and construction of the Project, including
the construction engineering and administration cost (CE) The estimated Project costs are as follows.

Responsibilities, 8 03 Prime Functions, 9 07 Monitoring Process and 9 08 Certification of Compliance
Coordinate with the appropriate State's Right-of-Way personnel during any right-of-way process
performed by the City, if applicable
i Not permit or allow any encroachments upon or private use of the right-of-way, except those
authorized by permit In the event of any unauthorized encroachment or improper use, the City shall take
all necessary steps to remove or prevent any such encroachment or use
j. Grant the State, its agents and/or contractors, without cost, the right to enter City Rights-of-
Way, as required, to conduct any and all construction and preconstruction related activities, including

III. MISCELLANEOUS PROVISIONS
1 The terms, conditions and provisions of this Agreement shall remain in full force and effect until
completion of said Project and related deposits or reimbursement, except any provisions for maintenance
shall be perpetual, unless assumed by another competent entity Further, this Agreement may be
cancelled at any time prior to the award of the Project construction contract, upon thirty (30) days written
notice to the other party It is understood and agreed that, in the event the City terminates this
Agreement, the State shall in no way be obligated to maintain said Project If the federal funding related
to this Project is terminated or reduced by the federal government, or if Congress rescinds, fails to renew,
or otherwise reduces apportionments or obligation authority, the State shall in no way be obligated for
funding or liable for any past, current or future expenses under this Agreement.
2 The State assumes no financial obligation or liability under this Agreement, or for any resulting
construction Project The City, in regard to the City's relationship with the State only, assumes full
responsibility for the design, plans, specifications, reports, the engineering in connection therewith and
the construction of the improvements contemplated, cost over-runs and construction claims It is
understood and agreed that the State's participation is confined solely to securing federal aid on behalf of

the City and the fulfillment of any other responsibilities of the State as specifically set forth herein, that
any damages arising from carrying out, in any respect, the terms of this Agreement or any modification
thereof shall be solely the liability of the City and that to the extent permitted by law, the City hereby
agrees to save and hold harmless, defend and indemnify from loss the State, any of its departments,
agencies, officers or employees from any and all costs and/or damage incurred by any of the above and
from any other damage to any person or property whatsoever, which is caused by any activity, condition,
misrepresentation, directives, instruction or event arising out of the performance or non performance of
any provisions of this Agreement by the State, any of its departments, agencies, officers and employees,
or its independent contractors, the City, any of its agents, officers and employees, or its independent
contractors Costs incurred by the State, any of its departments, agencies, officers or employees shall
include in the event of any action, court costs, and expenses of litigation and attorneys' fees
3 The cost of design, construction and construction engineering work under this Agreement is to be
covered by the HSIP funds set aside for this Project, up to the maximum available The City
acknowledges that the eventual actual costs may exceed the maximum available amount of HSIP funds,
or that certain costs may not be accepted by the federal government as eligible for HSIP funds
Therefore, the City agrees to furnish and provide the difference between actual costs and the HSIP funds
received
4 The cost of the Project under this Agreement includes applicable indirect costs approved by the
FHWA
5 The City and State warrant compliance with the Federal Funding Accountability and
Transparency Act of 2006 and associated 2008 Amendments (the "Act") Additionally, in a timely
manner, the City will provide information that is requested by the State to enable the State to comply with
the requirements of the Act, as may be applicable
6 This Agreement shall become effective upon signing and dating of the Determination Letter by
the State's Attorney General.
7 This Agreement may be cancelled in accordance with Arizona Revised Statutes § 38-511
8 To the extent applicable under law, the provisions set forth in Arizona Revised Statutes §§ 35-214
and 35-215 shall apply to this Agreement
9 This Agreement is subject to all applicable provisions of the Americans with Disabilities Act
(Public Law 101-336, 42 U S C 12101-12213) and all applicable Federal regulations under the Act,
including 28 CFR Parts 35 and 36 The Parties to this Agreement shall comply with Executive Order
Number 2009-09 issued by the Governor of the State of Arizona and incorporated herein by reference
regarding "Non-Discrimination"
10. Non-Availability of Funds Every obligation of the State under this Agreement is conditioned upon
the availability of funds appropriated or allocated for the fulfillment of such obligations If funds are not
allocated and available for the continuance of this Agreement, this Agreement may be terminated by the
State at the end of the period for which the funds are available No liability shall accrue to the State in the
event this provision is exercised, and the State shall not be obligated or liable for any future payments as
a result of termination under this paragraph
11 In the event of any controversy, which may arise out of this Agreement, the Parties hereto agree
to abide by required arbitration as is set forth for public works contracts in Arizona Revised Statutes § 12-
1518
12 All notices or demands upon any Party to this Agreement shall be in writing and shall be delivered
in person or sent by mail, addressed as follows

A RESOLUTION OF THE MAYOR AND CITY COUNCIL OF THE CITY
OF APACHE JUNCTION, ARIZONA, AUTHORIZING THE CITY TO
ENTER INTO AN INTERGOVERNMENTAL AGREEMENT WITH ARIZONA
DEPARTMENT OF TRANSPORTATION FOR HIGHWAY SAFETY
IMPROVEMENT PROGRAM GRANT MONEY.
,.� WHEREAS, Congress established the Highway Safety
Improvement Program ("HSIP") for the specific purpose of
achieving a significant reduction in traffic fatalities and
serious injuries on public roads; and
WHEREAS, the State and the City have identified systematic
improvements within the City as being eligible under this
program; and
WHEREAS, the purpose of this joint effort is to allow the
State to acquire federal funds for the design and construction
of Ironwood Drive Safety Pullouts Phase 3 (the "Project") ; and
WHEREAS, the State shall be the designated agent for the
City; and
WHEREAS, the estimated design total cost of the Project is
$31, 159. 00, including Civil Engineering Design and State Design
Review, which represents 100% funding and the construction total
cost of the Project is $318, 030 . 00; and
WHEREAS, Federal-aid funds will contribute $29, 383. 00 for
design and $299, 902 . 00 for construction of the Project; and
WHEREAS, the required City leftover matching funds for
design of the Project is $1, 776. 00 and construction cost of the
Project is $18, 128 . 00; and
WHEREAS, the attached written agreement ("IGA/JPA 13-
0001510-I") sets forth the financial and administrative
conditions for design of the Project .
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COUNCIL
OF THE CITY OF APACHE JUNCTION ARIZONA, AS FOLLOWS:
1) The Mayor and City Council hereby approve the attached
intergovernmental agreement between the City of Apache

to sign the agreement on behalf of the City.

THIS AGREEMENT is entered into this date , 2013, pursuant to
the Arizona Revised Statutes §§ 11-951 through 11-954, as amended, between the STATE OF
ARIZONA, acting by and through its DEPARTMENT OF TRANSPORTATION (the "State" or"ADOT") and
the CITY OF APACHE JUNCTION, acting by and through its MAYOR and CITY COUNCIL (the "City').
The State and the City are collectively referred to as "Parties "
I. RECITALS
1 The State is empowered by Arizona Revised Statutes § 28-401 to enter into this Agreement and
has delegated to the undersigned the authority to execute this Agreement on behalf of the State
2 The City is empowered by Arizona Revised Statutes § 48-572 to enter into this Agreement and
has by resolution, a copy of which is attached hereto and made a part hereof, resolved to enter into this
Agreement and has authorized the undersigned to execute this Agreement on behalf of the City.
3 Congress has established the Highway Safety Improvement Program (HSIP) as a core Federal-
aid for the specific purpose of achieving a significant reduction in traffic fatalities and serious injuries on
public roads The State, the Federal Highway Administration (FHWA) and the City have identified
systematic improvements within the City as eligible for this funding
4. The improvements proposed in this Agreement, hereinafter referred to as the "Project," include
the construction of two (2) safety pullouts along Ironwood Drive with pavement marking upgrade to
thermoplastic The State will advertise, bid, and award the Project.
5 The interest of the State in this Project is the acquisition of federal funds for the use and benefit of
the City and to authorize such Federal funds for the Project pursuant to Federal law and regulations The
State shall be the designated agent for the City, if the Project is approved by FHWA and funds for the
Project are available.
6 The Parties shall perform their responsibilities consistent with this Agreement and any change or
modification to the Project will only occur with the mutual written consent of both Parties
7 The federal funds will be used for the scoping/design and construction of the Project, including
the construction engineering and administration cost(CE) The estimated Project costs are as follows

amount and the initial estimate will be de-obligated or otherwise released from the Project The City

THEREFORE, in consideration of the mutual Agreements expressed herein, it is agreed as follows*
II. SCOPE OF WORK
1. The State will

the City for the City's estimated share of the Project Engineering, currently estimated at$1,776.00 Once
the Project Engineering costs have been finalized, the State will either invoice or reimburse the City for
the difference between estimated and actual costs
c Upon receipt of the the City's estimated share of the Project Engineering costs, currently
estimated at $1,776.00, on behalf and with consent of the City, contract with one of the State's on-call
consultants ("Consultant") to prepare all pertaining documents for the design and post-design of the
Project, review and approve documents required by FHWA to qualify the Project for and to
receive federal funds and provide comments to the City as appropriate Such documents may consist of,
but are not specifically limited to, environmental documents, including the preparation of the analysis
requirements for documentation of environmental categorical exclusion determinations, review of reports,

design plans, maps, and specifications, geologic materials testing and analysis, right-of-way requirements
and activities and such other related tasks essential to the achievement of the objectives of this
Agreement Issue the right-of-way clearance after review of the Consultant's right-of-way submittal
d Submit all documentation required to the FHWA containing the above-mentioned Project with
the recommendation that funding be approved for design and installation The Project will be performed,
completed, accepted and paid for in accordance with the requirements of the Project plans and
specifications
e Request the maximum federal funds programmed for this Project, including City contract
administration costs Should costs exceed the maximum federal funds available it is understood and
agreed that the City will be responsible for any overage.
f Upon completion of design and prior to bid advertisement, invoice the City, for the City's
share of funds for the construction costs of the Project currently estimated at $18,128.00. Once the
Project Construction costs have been finalized, the State will either invoice or reimburse the City for the
difference between estimated and actual costs Deobligate or otherwise release any remaining federal
funds from the Project
g Upon approval by FHWA, with the aid and consent of the City and the FHWA, the State shall
proceed to advertise for, receive and open bids subject to the concurrence of the FHWA and the City, to
whom the award is made for and enter into a contract(s) with a firms(s) for the installation of the Project
Incorporate comments from the City as appropriate
h Be granted, without cost, the right to enter City Rights-of-Way, as required, to conduct any
and all construction and preconstruction related activities, including without limitation, temporary
construction easements or temporary Rights-of-Entry to accomplish among other things, soil and
foundation investigations
i Not be obligated to maintain said Project, should the City fail to budget or provide for proper
and perpetual maintenance as set forth in this Agreement

agencies, officers or employees from any and all costs and/or damage incurred by any of the above and
from any other damage to any person or property whatsoever, which is caused by any activity, condition,
misrepresentation, directives, instruction or event arising out of the performance or non performance of
any provisions of this Agreement by the State, any of its departments, agencies, officers and employees,
or its independent contractors, the City, any of its agents, officers and employees, or its independent
contractors Costs incurred by the State, any of its departments, agencies, officers or employees shall
include in the event of any action, court costs, and expenses of litigation and attorneys' fees
3. The cost of design, construction and construction engineering work under this Agreement is to be
covered by the HSIP funds set aside for this Project, up to the maximum available The City
acknowledges that the eventual actual costs may exceed the maximum available amount of HSIP funds,
or that certain costs may not be accepted by the federal government as eligible for HSIP funds
Therefore, the City agrees to furnish and provide the difference between actual costs and the HSIP funds
received
4 The cost of the Project under this Agreement includes applicable indirect costs approved by the
FHWA
5 The City and State warrant compliance with the Federal Funding Accountability and
Transparency Act of 2006 and associated 2008 Amendments (the "Act") Additionally, in a timely
manner, the City will provide information that is requested by the State to enable the State to comply with
the requirements of the Act, as may be applicable
6 This Agreement shall become effective upon signing and dating of the Determination Letter by
the State's Attorney General.
7 This Agreement may be cancelled in accordance with Arizona Revised Statutes§ 38-511
8 To the extent applicable under law, the provisions set forth in Arizona Revised Statutes§§ 35-214
and 35-215 shall apply to this Agreement
9 This Agreement is subject to all applicable provisions of the Americans with Disabilities Act
.••. (Public Law 101-336, 42 U S C 12101-12213) and all applicable Federal regulations under the Act,
including 28 CFR Parts 35 and 36 The Parties to this Agreement shall comply with Executive Order
Number 2009-09 issued by the Governor of the State of Arizona and incorporated herein by reference
regarding "Non-Discrimination"
10 Non-Availability of Funds. Every obligation of the State under this Agreement is conditioned upon
the availability of funds appropriated or allocated for the fulfillment of such obligations If funds are not
allocated and available for the continuance of this Agreement, this Agreement may be terminated by the
State at the end of the period for which the funds are available No liability shall accrue to the State in the
event this provision is exercised, and the State shall not be obligated or liable for any future payments as
a result of termination under this paragraph
11 In the event of any controversy, which may arise out of this Agreement, the Parties hereto agree
to abide by required arbitration as is set forth for public works contracts in Arizona Revised Statutes § 12-
1518
12 All notices or demands upon any Party to this Agreement shall be in writing and shall be delivered
in person or sent by mail, addressed as follows

SUBJECT: Public Hearing regarding Proposed Resolution No 13-16 (Authority to Submit)
for Fiscal Year 2013 Community Development Block Grant and Fiscal Year
2013 State Special Project funds.
REQUEST
Staff respectfully requests the city council.
1) Review and discuss rescinding Resolution No 12-40;
2) Conduct a public hearing to receive and discuss new projects for the submission of Fiscal
Year 2013 ("FY13") Community Development Block Grant Regional Account ("CDBG")
and Fiscal Year 2013 ("FY13") State Special Project("SSP") applications,
3) Select projects to be submitted under the FY13 CDBG and FY13 SSP application
programs; and
4) Review and discuss Resolution No. 13-16, authorizing the submission of the city's FY13
CDBG and FY13 SSP applications
BACKGROUND
Since 1974, the United States Department of Housing and Urban Development ("HUD")has provided
assistance to local communities through the CDBG and SSP Programs. These Programs were
established to help communities address the following national objectives.
1) Meet the needs of low and moderate income citizens,
2) Prevent/eliminate slums and blight in a community, and/or
3) Address urgent needs to the health/welfare of a community

A community can use the funds to address one of the national objectives or can direct the funds to a
non-profit organization. Apache Junction has participated in the CDBG program since 1982.
The City of Apache Junction is eligible to submit applications to the Arizona Department of Housing
for both the CDBG and SSP funding
The City of Apache Junction is anticipating receiving approximately$100,000 in CDBG funds to be
used over a two year period of time (January 2014—December 2016) These funds are guaranteed to
/'\ the community as long as a viable project is submitted for funding to ADOH. The City may retain up
to 18% of these funds for administrative costs. This application is due August 1, 2013.
In years past, the city partnered with the Town of Payson to receive double funding every other year.
The city chose to end that partnership in 2011.
The City of Apache Junction is anticipating submitting an application for the SSP funds in which the
city may request up to $300,000 to be used over a two year period of time These funds are a statewide
competitive grant. The city may retain up to 18% of these funds for administrative costs. The
anticipated application due date is December 2013.
Crucial to the CDBG and SSP programs is the involvement of local citizens and elected officials In
fact, to participate in the programs and receive funds a community must be able to document that
citizens and officials have been given the opportunity to discuss community needs and suggest
possible projects Ultimately, the decision on which CDBG and SSP projects will be submitted rests
with the elected officials in a community
To assist communities in meeting the requirements for public participation, ADOH has established a
mandatory public participation process Failure to meet the public participation requirements will
result in the disqualification of the city from the programs and an inability to receive funds.
On November 8, 2012 a public meeting was held to solicit input from the public on potential projects
for the submission of an application Technical assistance was provided to the community until
1"\ November 7, 2012 to help formulate projects for consideration and to determine if a potential project
meets the requirements of the CDBG program. There were no members of the community present
during the public meeting,therefore there were no public comments received.
Additionally, on October 11, 2012 the Leadership Team met to discuss potential projects for
presentation to council. Based upon the city's current low to moderate income status,the City must
focus their CDBG and SSP efforts on projects that meet one of the following criteria.
1) Is within a designated and approved redevelopment area, e g Crossroads Redevelopment
Area and Apache Trail Redevelopment Area;
2) Assist persons within a limited clientele category, e.g. seniors, disabled, etc.,
3) Assist homeowners who are proven to be low income, e.g. housing rehabilitation, and
4) Assist neighborhoods that are proven to be low income

During the Leadership Team meeting, several projects were discussed that met the criteria of the
CDBG program Of those projects, several held high priority because they addressed objectives within
the recently completed Downtown Revitalization and Implementation Strategy("DRIS").
The following projects were discussed by the Leadership Team.
1) Commercial Rehabilitation—to offer grants/loans to local busmesses for improvements to
the exterior of their buildings. This project was identified in the DRIS and will be
completed within the two redevelopment areas, which is an approved use of the funds as
identified above. Commercial Rehabilitation Guidelines must be created and approved.
Draft guidelines are to be presented to the city council on December 17, 2012 and January
15, 2013
2) Drainage/Street Improvements—to improve the neighborhood south east of Apache Trail
and Delaware The entire project is broken up by roadway into two components a) drainage
and streets, and b) curb, gutter and sidewalks.
The following projects were recommended by the Leadership Team.
CDBG—Commercial Rehabilitation
SSP—Drainage/Street Improvements
As part of the application requirements for submission of CDBG and SSP applications, a resolution is
required that authorizes the city to submit applications to the Arizona Department of Housing for
funding Resolution No. 12-40 further authorizes the Mayor to sign the applications, contracts, and
grant documents, and take all actions necessary to implement and complete the activities submitted
within the applications.
On January 15, 2013, following a public hearing, the city council approved the following projects
under Resolution No 12-40.
Primary project—Completion of North Apache Trail pending the outcome of the FY12 SSP
application
Secondary project—Drainage and street improvements to the neighborhood located south east
of Apache Trail and Delaware pending the outcome of the FY12 SSP application
Subsequent to the public participation process and continued community and council concern,the city
council directed the Public Works Department to complete street improvements to the aforementioned
neighborhood On May 7, 2013,the city council approved a contract to complete the paving project
Additionally, on April 1, 2013,the city received a notice of non-award for the FY12 SSP application
for North Apache Trail Improvements Phase 2B Simultaneously the city was conducting the
procurement process for Phase 2A and received competitive bids to complete the entire North Apache
Trail project(Phases 2A, 2B, and 3). On April 15, the public works department and city management
recommended using Downtown Redevelopment Funds to complete the project On May 7, 2013,the
city council approved a contract for construction of the entire project

Due to the current situation,previously selected projects for submittal under the FY13 CDBG and SSP
rounds are no longer valid. On May 6, 2013, staff updated the city council on the status of the projects,
the requirement for a new public hearing and the need for a new resolution (resolution no 13-16)
DISCUSSION
Based upon previous discussions, the council may choose to.
1) Select projects that were previously mentioned during the original public participation
round
a. Housing Rehabilitation
b Commercial rehabilitation
2) Select a new project proposed by City staff
a. Sidewalks in the neighborhood located southeast of Apache Trail and Delaware
b Street improvements to a neighborhood located northwest of Apache Trail and
Delaware

3) Select a new project proposed by the public during the public hearing
RECOMMENDATION
Staff respectfully requests the city Council.
1) Review, discuss and approve rescinding Resolution No 12-40;
2) Conduct a public hearing to receive and discuss new projects for the submission of FY13
CDBG and FY13 SSP applications;
3) Select projects to be submitted under the FY13 CDBG and FY13 SSP application
programs; and
4) Review, discuss and approve Resolution No. 13-16, authorizing the submission of the
City's FY13 CDBG and FY13 SSP applications.
ACTION REQUIRED
The following actions are required.
1) Rescind Resolution No. 12-40,
2) Convene a public hearing;
3) Select project(s) to be submitted as grant applications; and
4) Consider Resolution No. 13-16.

SUBMISSION OF APPLICATION (S) FOR FY 2013 STATE
COMMUNITY DEVELOPMENT BLOCK GRANT REGIONAL ACCOUNT
("CDBG") , FY 2013 STATE SPECIAL PROJECT ("SSP") FUNDS,
AND CERTIFYING THAT THE APPLICATION (S) : (1) MEETS THE
IDENTIFIED HOUSING AND COMMUNITY DEVELOPMENT NEEDS;
AND (2) IS NECESSARY FOR IMPLEMENTATION AND COMPLETION
OF THE ACTIVITIES OUTLINED IN THE CDBG AND SSP
APPLICATION (S) .
WHEREAS, the City of Apache Junction is desirous of
undertaking community development activities; and
WHEREAS, the State of Arizona is administering the
Community Development Block Grant ("CDBG") Program; and
WHEREAS, the State CDBG Program requires that the requested
CDBG funds address one of the three congressionally-mandated
national objectives; and
WHEREAS, the activities within these applications address
the identified housing and community development needs,
including the needs of low and moderate income persons; and
WHEREAS, a grantee of State CDBG funds is required to
comply with the CDBG Program guidelines and federal statutes and
regulations; and
WHEREAS, on November 8, 2012, January 15, 2013 and June 4,
2013, the City of Apache Junction held public hearings on CDBG
and SSP proposed projects .
NOW, THEREFORE, BE IT RESOLVED by the Mayor and City
Council of the City of Apache Junction as follows:
SECTION 1 :
Staff is authorized to submit applications to the State of
Arizona Department of Housing for Fiscal Year 2013 CDBG, and
Fiscal Year 2013 SSP funds, and the Mayor is authorized to sign
the applications, contracts, grant documents and other related
documents for receipt and use of CDBG funds for:

FY 2013 SSP - for $300, 000
SECTION 2 :
The Mayor or his designee is authorized to take any and all

under State guidelines for low and moderate income persons.
SECTION 4 :
The City of Apache Junction shall comply with all State CDBG
Program guidelines, federal statutes and regulations applicable
to the State CDBG Program and certifications contained in the
applications.

banks that handle city bank accounts, city staff is requesting that formal action be taken
by council to ratify those elected officials who will be authorized to sign city checks
This action is appropriate at this time since technically this is a "new" council with new
term expiration dates
City checks require two signatures to include one from a member of the City Council in
addition to the signature of the City Clerk as ex officio city treasurer The current
council check signer is Mayor Insalaco Traditionally, a minimum of two designated
signers have been chosen from among our elected officials to include the mayor, and/or
vice mayor or a council member. Since all "council members" are elected under that
specific title, I recommend that you use the word "Councilmember" as the title in your
motion As an example I move that Mayor Insalaco and Councilmember

Section 2-2-2 of the City Code requires that at the first meeting following their election
the members of the City Council "shall select one of its members as vice mayor who
shall serve at the pleasure of the Council" A copy of this section of the Code is
attached
The nominations and election procedure ordinarily followed are those prescribed by
Robert's Rules of Order For your reference, I am including a copy of these procedures
as found in the officially adopted Webster's New World Robert's Rules of Order, 1999
Edition Since the Apache Junction City Code requires that all public council votes be --
done by roll call, the procedures you need to follow are found under "Nominations from
the Floor" (p 182), "Election by Voice Vote" (p. 185) and "Election by Roll Call Vote"
(p 189)
I have also provided you with a simplified process from a popular "how to" book series
on Robert's Rules. This differs only slightly from the 1999 edition of Robert's Rules but
provides you with a good overview and summary of the process.
