MEETING MINUTES BOARD OF DIRECTORS ROLL CALL: Chairperson Douglas Coleman Vice Chairperson Patricia Richmond Mrs.Robin Barker Mr.Joe Durbala Ms.Urich Mr.Keith Hendricks Mrs.Anne Surra (arrived at 6:10) 1.Call to order. 2.Roll call. Others Present: Curtis Shook,District Manager Glenn Gimbut, Asst. District Attorney George Hoffman,Asst.City Manager Doug Dobson,Public Works Director Kathleen Connelly,District Clerk Keith Lewis,District Treasurer Bill Farrell,District Council 3.Motion for executive session at 6:00 p.m., September 16, 1996, pursuant to A.R.S. § 313-431.03.A.3,for the purpose of discussion and consideration of legal advice with District Counsel regarding Pinal County tax repayment agreement. Vice Chairperson Richmond moved for an executive session.Mrs.Barker seconded the motion.Motion passed unanimously. Chairperson Coleman recessed public meeting at 6:06 p.m.The meeting was reconvened at 6:37 p.m. 4.Approval of minutes of Mampist 5,1996. Mrs.Barker moved for adoption of the WUCFD meeting minutes of August 5,1996. Mr.Hendricks seconded the nation.Motion passed unanimously. 5.Resolution No. 1996-0107:Adoption of final budget for Fiscal Year 1996-97. District Manager Shook briefed the board on this item.He stated the city would be reimbursed for work being performed by city employees on district matters and this could be found in the budget as a line item under Expenses,City Administration Expenses and under Plant and System Improvements,under Plant, with $1.3 million.When city employees assist in capital improvements, that line item will be charged.The line item on City Adminstration Services will be used once a cost accounting structure has been formulated. Mrs.Surra thanked District Manager Shook for the explanation,stating she had been told the city was donating the service free of charge and therefore the taxpayers were actually underwriting the costs.She is glad to hear the water Water Utilities Community Facilities District Meeting Minutes of September 16,1996 Page 1 of 5 district is paying its bill to the city. Chairperson Coleman opened the public hearing on the item.There being no one wishing to speak on the item,he closed the hearing.There being no further discussion by the board,he called for a motion. Vice Chairman Richmond moved to adopt the final budget for Fiscal Year 96-97 of the Water Utilities Community Facilities District (Resolution No.1996-007,a Resolution of the Board of Directors of the Water Utilities Community Facilities District (City of Apache Junction,Arizona)fully adopting estimates of expenditures by the Water Utilities Community Facilities District (City of Apache Junction,Arizona), for fiscal year beginning July 1,1996,and ending June 30, 1997:declaring that such shall establish the budget for the Water Utilities Community Facilities District (City of Apache Junction, Arizona), for Fiscal Year 1996-97). Ms.Urich seconded the motion.Motion passed unanimously. 6.Discussion and consideration of intergovernmental agreement between Water Utilities Community Facilities District (City of Apache Junction, Arizona) and Pinal County regarding real and personal property taxes of Consolidated Water Utilities LTD. District Manager Shook stated the item had been frequently discussed before the this meeting and he believed it worthy of the board's consideration. Chairperson Coleman opened the item to discussion.There being no further discussion,he called for a motion. Vice Chairperson Richmond moved that the intergovernmental agreement between the Water Utilities Community Facilities District and Pinal County (an agreement by and between the County of Pinal and the Water Utilities Community Facilities District (City of Apache Junction,Arizona) regarding real and personal property taxes of Consolidated Water Utilities Ltd.)be approved. Mr.Durbala seconded the motion.The motion passed 4-3 with Mrs.Surra,Ms. Urich and Mr.Hendricks voting in opposition.(Mrs.Barker explained her vote before voting for approval.) 7.Discussion and consideration of Resolution 1996-009 and the intergovernmental agreement between the Water Utilities Community Facilities District (City of Apache Junction, Arizona) and the City of Apache Junction for the provision of construction and maintenance services. District Counsel Farrell briefed the board on this item.He stated he hoped Mrs. Surra would approve of this agreement.It provides for the method of repayment to the City of Apache Junction for improvements made. Mrs.Surra commented she had no problem with this agreement. Chairperson Coleman closed the discussion and called for a motion. Vice Chairperson Richmond moved that the Water Utilities Community Facilities District enter into this intergovernmental agreement with the City of Apache Junction (Intergovernmental Agreement between the Water Utilities Community Facilities District (City of Apache Junction,Arizona)and the City of Apache Junction,Arizona,for the provision of construction and maintenance service, and, Resolution 1996-009,a resolution of of the Board of Directors of the Water Utilities Community Facilities District (City of Apache Junction,Arizona) authorizing and directing the execution of an Intergovernmental Agreement by and between the District and the City of Apache Junction regarding the use of city personnel and equipment for construction projects during Fiscal Year 1996-97). Mrs.Surra seconded the motion.The motion passed unanimously. 8.Discussion and consideration of agreement between Water Utilities Community Facilities District (City of Apache Junction,Arizona)and Arizona State Retirement System regardi ng: a.resolution establishing Supplemental Retirement Plan and agreement between Water District and Arizona State Retirement System for administration of Supplemental Retirement Plan;and b.resolution adopting a plan for social security coverage;and c.authorization for the district manager to sign the necessary agreements. District Manager Shook briefed the board on the item.This would give district employees equal benefits with city employees, with the eventual intention to make them part of the city. Chairperson Coleman opened the item to discussion.There being no further discussion,he called for a motion. Mr.Durbala motioned that we approve the agreement between the Water Utilities Community Facilities District (City of Apache Junction)resolution establishing Supplemental Retirement Plan and agreement between Water District and Arizona State Retirement System for administration of Supplemental Retirement Plan; resolution adopting a plan for social security coverage;and authorization for the district manager to sign the necessary agreements. Mrs.Surra seconded the motion.The motion passed unanimously. 9.District Manager report. District Manager Shook deferred to Public Works Director Doug Dobson for an update on finalizing the 16"line to the well. Water Utilities Community Facilities District Meeting Minutes of September 16,1996 Page 3 of 5 Public Works Director Dobson stated the 16"line is now in and is ready for water.I t has passed the tests.The new well bid opening is on September 20. He estimates the other well should be available by mid -November. District Manager Shook inquired if there were any question from the board. Mrs.Surra asked how much water is being bought from other companies until the well is going. District Manager Shook stated he does not know the average or gallonage, but the average expense has been between $10,000 to $12,000 per month.That expense will be discontinued once the other well is available. Mrs.Surra inquired on the progress being made in naming the water company. District Manager Shook stated they were not actively pursuing a name change. There was general discussion on the name of Saguaro Water Company,but it is already believed to be taken by another company in the valley.There was additional discussion on whether the school district should name the water district. 10.District Treasurer report. District Treasurer Lewis had no report other than to field any questions by the board from the report given to them in the packet.However,there were no questions. 11.District Counsel report.
