REGULAR MEETING
APRIL 4,2006
The regular meeting of the District Board of the Water Utilities
Community Facilities District (Apache Junction Water Company),City of Apache
Junction,Arizona,was held on April 4,2006,at the Apache Junction City
Council Chambers pursuant to the notice required by law.
CALL TO ORDER
Chairperson Coleman called the meeting to order at 6:02 p.m.

White briefed the board on the item.This is the final part for restructuring
the loan with the Water InfrastructureFina9ce Authority,part of which will
allow the district to borrow approximately $800,000 for the arsenic treatment
plant.Jorge Arbala,bond counsel,is requesting the resolution authorizing
the loan be redrafted and readopted for technical reasons.The district's
attorney is present to answer any questions.

COMMUNITY FACILITIES DISTRICT (CITY OF APACHE JUNCTION,ARIZONA)APPROVING THE
ISSUANCE AND DELIVERY OF ITS NOT TO EXCEED $5,000,000 AGGREGATE PRINCIPAL
AMOUNT OF DISTRICT WATER REVENUE BONDS SERIES 2006A;AUTHORIZING THE EXECUTION
AND DELIVERY OF A SECOND SUPPLEMENTAL TRUST INDENTURE AND A LOAN AND BOND
PURCHASE AGREEMENT;APPROVING THE TERMS OF SUCH DOCUMENTS AND RELATED
DOCUMENTS TO BE EXECUTED BY THE WATER UTILITIES COMMUNITY FACILITIES DISTRICT
(CITY OF APACHE JUNCTION,ARIZONA);RATIFYING CERTAIN ACTIONS HERETOFORE TAKEN
IN CONNECTION WITH THE BONDS AND AUTHORIZING THE EXECUTION OF SUCH OTHER
DOCUMENTS AND THE TAKING OF SUCH OTHER ACTIONS DEEMED NECESSARY TO EFFECT THE
PURPOSES STATED HEREIN,BE APPROVED.
Mr.Waldron SECONDED THE MOTION.
VOTE:Unanimous.
