8. Consideration of an application for a special event liquor license
for Superstition Mountain Rotary Club for the Festival of the
Superstitions on November 7-8, 2015 at 567 W Apache Trail
The next step in the procedure is for the city council to hold a
public hearing and make a recommendation for approval or
denial to be forwarded to the Arizona Department of Liquor
Licenses and Control

M. CALL TO PUBLIC
At this time the public has the privilege to address the council with requests, communications,
comments or suggestions relating to city business that are not listed on the agenda All speakers must
have already submitted a written "Request to Speak"form to the city clerk no later than the conclusion
of the city manager's report portion of the agenda If there is a group speaking on the same item, they
should select a spokesperson All such remarks shall be addressed to the council as a whole and not to
any member thereof The mayor is authonzed to ask a speaker to stop speaking and leave the podium
or to adjourn the meeting if anyone becomes disorderly, uncivil, makes personal attacks or continues to
speak about items that are not within the jurisdiction of the city after being warned such issues are
beyond the jurisdiction of the city to act The council may not answer questions of the speaker, discuss

The regular meeting of the City Council of the City of
Apache Junction, Arizona, was held on September 15, 2015, at the
Apache Junction City Council Chambers pursuant to the notice
required by law.

Mayor Insalaco called the meeting to order at 7 : 00 p.m.

AWARDS, PRESENTATIONS AND PROCLAMATIONS
Mayor Insalaco read a proclamation designating September 17
through September 23 as Constitution Week and presented it to
members of the Daughters of the American Revolution.
Sponsorship/Partnership Programs Administrator Roger Hacker
stated this is a continuation of a presentation started on July
7, 2015. Very generous citizens and organizations have stepped
forward to address a community need. He requested Councilmember
Wilson refresh their memories.
Councilmember Wilson commented they have had the opportunity to
have members of the police department and fire department
receive large animal rescue training Seven people and
organizations have donated to pay for the training of three
police officers and four firefighters. The training is in
October to rescue a large animal in distress, whether an
accident or any other type of situation. He is proud of the
community and the organizations that have donated such as
Paula' s Tack, the Superstition Horsemen' s Association and Rich
Sterba Today two more have requested to donate to help the
community. He is hoping the training will never have to be
used. No tax dollars have been used for this training as it has
all been strictly donation.

Promotional Corporation, represented by Membership Chairperson
Heather McClelland and President Denny Walter

Mr. Denny Walter thanked them for allowing him to present the
check It is a vested interest in the horse community as they
put on such events as the ranch rodeo and Lost Dutchman Days .
It is a sensible thing for them to invest in.
Sponsorship/Partnership Programs Administrator Roger Hacker
introduced Chester and Nancy Burgess for their donation. Nancy
was the former director of the food bank. They were moved at
the July 7 presentation and reached out and donated afterwards.
Ms Nancy Burgess stated she and Chester wanted to thank them
for the opportunity to donate to this worthy cause. It is a
great program and she is glad they will be getting police and
fire members trained in this rescue effort They do not have
any large animals but she understands the training is needed and
they are proud to support the city on this.
ANNOUNCEMENT OF CURRENT EVENTS
Councilmember Serdy commented he wanted to let the people know
that the city did not do the barrier on Idaho Road. It was the
state and it is a state highway. A lot of people do not like
it. The businesses do not like it.
Councilmember Evans commented two weeks ago she and Larry
Johnson from the Chamber went to the United Food Bank in Mesa
and bagged 800 one pound bags of beans, along with council and
chamber members from Gilbert and Queen Creek.
Councilmember Evans commented last Friday she and Vice Mayor
Barker attended the ten year anniversary breakfast for Pinal
^, Partnership. Later that day they went to Avalon School where
the grade school children put on a presentation and sang songs
honoring 9/11 . She added that Mayor Insalaco and Councilmember
Wilson also attended.
Councilmember Wilson commented it was exciting to see what the
kids were doing at Avalon School.
Mayor Insalaco commented the police department, fire department
and VFW #7968 were all represented there. He has never seen
such polite children in his life.

CITY MANAGER' S REPORT
City Manager Bryant Powell commented on the memorial services
for former police officer John Pinson and his attendance at the
Phoenix-Mesa Gateway meeting this morning and the new convention
center possibility there.
Mayor Insalaco commented he had already talked to the .�
representative about it and they will be open 365 days a year.
It could be a big boost to the East Valley and us.
City Manager Bryant Powell presented the video from Channel 12
on the Mad Science Lab at the Fit Family Fun Night put on by the
parks and recreation department.

briefed the council on the item.
Mayor Insalaco commented
there are other cities that have this in the State of Arizona.
City Clerk Kathleen Connelly
stated the majority of the cities in the state do have it. For
whatever reason when the city council adopted the Model City Tax
Code in 1987 the use tax option was not included. We could have
collected as much as $2 . 4 million over those years

Mayor Insalaco opened the
public hearing on the item. There being no one wishing to
speak, he closed the public hearing and reopened the item to
council discussion.
Councilmember Waldron asked
if they are under some time frames. They need to insert a date
for when it comes back for a vote.
City Attorney Joel Stern
stated there is a notice issue. Under § 9-499 15, any new tax

or increase in taxes shall give 60 days notice on our website.
If they say they want to do this on November 17, the hearing
date, the notice will be on the website that will state there
will be a hearing on November 17 . They barely make the 60 days
but they will make it.

CALL TO THE PUBLIC

Ms . Tess Nesser, 1511 S. Cactus, Apache Junction, addressed the
council regarding SACA, Horizon Health and Wellness and
Sympatico of Arizona starting the bazaar for arts, crafts and a
farmers market on the first Saturday of October and continuing
one Saturday each month through March, the National Kids Day on
September 19 with events at the Boys and Girls Club and their
Bowl-A-Thon on September 26. She voiced her approval for the
new islands on Idaho stopping all the hazardous traffic from
crossing between QT and Fry' s . They only need a sign stating no
U-turn there
Mayor Insalaco commented the accidents were tremendous there.
Ms Nancy Burgess, 116 S. Vista, Apache Junction, addressed the
council regarding her stepping down from the food bank. She
thanked everyone for their support and added she and her husband
will now manage Weaver' s Needle Mobile Home Park and continue to
support the community She introduced Myra Garcia, the new
executive director at the food bank

LICENSE AGREEMENT WITH EAST VALLEY ADULT RESOURCES FOR SENIOR
ACTIVITIES IN THE CITY MULTIGENERATIONAL CENTER
THIS LICENSE AGREEMENT (the "License") entered into this day
of 2015 by and between the CITY OF APACHE JUNCTION, an
Arizona municipal corporation (hereinafter "Licensor") and EAST VALLEY
ADULT RESOURCES. (hereinafter "Licensee") for use of portions of City's
Multigenerational Center. City and Licensee are sometimes referred to herein
collectively as the "Parties," or individually as a "Party."
RECITALS
A. Licensor is the owner in fee simple of a parcel of land located in the
City of Apache Junction, Pinal County, State of Arizona, legally described on
Exhibit A (hereinafter the "Premises") which includes a multigenerational center,
complete with a full gymnasium, kitchen, multipurpose classrooms, offices and
other recreational amenities.
B. Licensor and Licensee entered into a License Agreement to provide
Licensor senior services on June 21, 2005 for use of the Multigenerational
Center (the "MGC") which expired on March 1, 2015
C. Licensor is willing to provide Licensee through this Agreement use
of certain space and facilities located within the multigenerational center, as
depicted in Exhibit B, and Licensee desires to use such space and facilities
subject to all the terms and conditions of this Agreement as set forth below.
AGREEMENT
NOW, THEREFORE, Licensor licenses to Licensee the Premises consistent
with the terms and conditions agreed by the Parties as follows:
1. LICENSED PREMISES: Licensor licenses to Licensee the Premises,
as described in Exhibit "A" and as depicted in Exhibit"B".
2. TERM: The Term of this Agreement shall be ten (10) years
beginning on , 2015 and ending on , 2025 unless
otherwise extended, cancelled or terminated as provided herein.
3. TERMINATION: Either Party shall have the right to provide the
other Party one hundred twenty (120) calendar days written notice of its intent to
terminate this Agreement any time during the term of this Agreement.
4. LICENSE FEE: Licensee shall pay Licensor the sum of ten dollars
($10.00) per year and by other good and valuable consideration as provided
herein.
5. USE OF PREMISES: Licensee is granted a license for use of the
Premises delineated in Exhibit B attached hereto, during the Operational Hours
of 8 a.m. through 5 p.m. Arizona Time, Mondays through Fridays. The Parties
may seek permission from each other to use nonexclusive areas as noted in
Exhibit B. Such permission by both Parties needs to be presented with as much
advance notice as possible, which permission by either Party cannot be
unreasonably withheld. Licensee shall abide by all Parks and Recreation
regulations on file with the Parks and Recreation Director or his or her designee.
The recipients of the services shall be at least fifty-five (55) years of age.
Licensee may also use the Premises for congregate and home delivered meal
programs. Licensee shall not permit the Premises to be used for religious
purposes or allow alcoholic beverages to be brought on the Premises.
6. MAINTENANCE, UTILITIES AND SUPPLIES; ALTERATIONS;
EMERGENCY USE OF CITY VEHICLES: Licensor shall keep the Premises in
good repair and condition during License Term, except for damage caused by
Licensee's activities under the direction and control of Licensee for which
Licensee shall have repaired at its sole expense. Licensee shall be responsible
for all damages, wear and tear not ordinary to the use of the Premises caused by
Licensee, its employees, agents, service personnel, program participants,
contractors, invitees and guests and concessionaries. Licensee is responsible
for maintenance of all kitchen equipment. Repairs exceeding Five Thousand
Dollars ($5,000.00) will be shared equally by Licensor and Licensee.
Replacement of kitchen equipment provided by Licensor will be the
responsibility of Licensor. It is Licensee's responsibility on a daily basis for all
routine cleaning. Licensor is responsible for. a) any substantial repairs or
replacement of furniture and non-kitchen fixtures and equipment not due to any
of Licensee's activities; b) all long distance telephone calls and internet use
costs and that of its program participants; c) all other utilities. Licensee shall
make no changes, modifications or alterations of the Premises without the
express written permission from Licensor. Licensor is not responsible for any of
Licensee's equipment it moves onto the Premises. Licensee may, at the
discretion of the Licensor's Parks and Recreation Director or his or her designee
request use of a City vehicle in an emergency situation. In such case, and in the
event of an accident, Licensee shall be responsible for all liability. Before any
permission to use such vehicle is granted, the Parks and Recreation Director or
his or her designee shall confirm automobile insurance coverage.
7. DEFAULT AND REMEDIES:
A. It shall be a default if: 1) Licensee fails to pay License Fee or
any other sum when due as applicable, and does not cure such default within ten
(10) calendar days after receipt of written notice from Licensor; 2) Either Party
fails to perform any other covenant or condition of this License and does not
cure such other action within thirty (30) calendar days after written notice from
the nonbreaching Party of such deficiency; 3) Either Party abandons the

Premises; 4) Either Party is adjudicated as bankrupt or makes any assignment
for the benefit of creditors; 5) Either Party becomes insolvent; 6) Either Party
misuses the Premises; or 7) Either Party fails to obtain and maintain adequate
insurance.
B. In the event of default, Licensor shall have the right at its
option, in addition and not exclusive of any other remedy Licensor may have by
operation of law, without any further demand or notice, to enter Premises and
eject all persons therefrom, and declare this Agreement terminated, in which
case Licensee shall immediately cease using the Premises and shall vacate the
Premises.
C. If either Party institutes a lawsuit to enforce its rights
hereunder upon a final non-appealable judgment, the losing Party shall pay the
prevailing Party's reasonable attorney fees provided that the prevailing Party
shows the losing Party acted in bad faith in bringing or defending the action.
8. CURE BY LICENSOR/LICENSEE• In the event of any default of this
Agreement by Licensee, Licensor may at any time after thirty (30) calendar days
written notice, cure the default for the account of and at the expense of
Licensee The sums so paid by Licensor, with all interest, costs, and damages
shall be deemed to be additional license fee payments and shall be due from
Licensee to Licensor on the first day of the month following the incurring of the
respective expenses. Similarly, Licensor shall be responsible for any liability
Licensor causes to Licensee as a result of Licensor's negligent actions but shall
have thirty (30) calendar days to cure any deficiencies causing such liability.
9. INDEMNIFICATION: To the extent permitted by law, each Party
covenants and agrees to fully indemnify, defend and hold harmless the other
Party, its Special Districts, elected and appointed officers, employees, and
agents from and against any and all suits, actions, legal or administrative
proceedings, claims, demands or damages of any kind or nature relating to this
Agreement, including attorney and expert witness fees, which, are the result of
any act or omission of the Party, its officers, employees, contractees, agents,
and anyone acting under its direction or control, whether intentional or
negligent, in connection with or incident to this Agreement. If any action or claim
shall be brought or asserted against either Party or its directors, officers,
agents, servants or employees for which indemnity may be sought from either
Party, the Parties shall promptly notify one another in writing. The noticed Party
shall, within ten (10) working days of receiving such notice, assume the defense
thereof, and the payment of all expenses, including any attorney fees and all
court costs which shall be paid as incurred. It is understood and agreed that
both Parties may elect to self-insure or obtain insurance through applicable
pooling agreements against any or all of the risks related to this Agreement.
This section shall survive the expiration or early termination of this Agreement.

10. INSURANCE: Licensee, at its own expense, shall purchase and
maintain the herein stipulated minimum insurance with companies duly licensed,
possessing a current A.M. Best, Inc. Rating of B++6, or approved unlicensed in
the State of Arizona with policies and forms satisfactory to Licensor.
All insurance required herein shall be maintained in full force and effect until all
service required to be performed under the terms of the Agreement is
satisfactorily completed and formally accepted or until the Licensee vacates the
Premises; failure to provide such insurance coverage may, at the sole discretion
of Licensor, constitute a material breach of this Agreement.
Licensee's insurance shall be primary insurance as respects the Licensor, and
any insurance or self-insurance maintained by Licensor shall not contribute to it.
Any failure to comply with the claim reporting provisions of the insurance
policies or any breach of an insurance policy warranty shall not affect coverage
afforded under the insurance policies to protect Licensor.
The insurance policies, except Workers' Compensation, shall contain a waiver of
transfer rights of recovery (subrogation) against Licensor, its agents, officers,
officials and employees for any claims arising out of Licensee's acts, errors,
mistakes, omissions, work or service.
The insurance policies may provide coverage which contains deductibles or self-
insured retentions. Such deductible and/or self-insured retentions shall not be
applicable with respect to the coverage provided to Licensor under such
policies. Licensee shall be solely responsible for the deductible and/or self-
retention and Licensor, at its option, may require Licensee to secure payment of
such deductibles or self-insured retentions by a surety bond or an irrevocable
and unconditional letter of credit.
Licensor reserves the right to request and to receive, within ten (10) working
days, certified copies of any or all of the herein required insurance policies
and/or endorsements. Licensor shall not be obligated, however, to review same
or to advise Licensee of any deficiencies in such policies and endorsements, and
such receipt shall not relieve Licensee from, or be deemed a waiver of,
Licensor's right to insist on strict fulfillment of Licensee's obligations under this
Agreement.
The insurance policies, except Workers' Compensation, shall name Licensor, its
agents, officers, officials and employees as additional insureds parties.
REQUIRED COVERAGE
Commercial General Liability

Licensee shall maintain Commercial General Liability insurance with a limit of
not less than $1,000,000 for each occurrence with a $2,000,000
Products/Completed Operations Aggregate and a $2,000,000 General
Aggregate limit. The policy shall include coverage for bodily injury, broad form
property damage, personal injury, products and completed operations and
blanket contractual coverage including, but not limited to, the liability assumed
under the indemnification provisions of this Agreement, which coverage will be
at least as broad as that on Insurance Service Office, Inc. Policy Form No. CG
00011093, or any replacements thereof.
Such policy shall contain a severability of interest provision, and shall not
contain a sunset provision or commutation clause, nor any provision which
would serve to limit third party action over claims.
The Commercial General Liability additional insured endorsement shall be at
least as broad as the Insurance Service Office, Inc.'s Additional Insured, Form B,
CG 20101185, and shall include coverage for Licensee's operations and
products and completed operations.
If required by this Agreement, if Licensee sublets any part of the services
Licensee shall purchase and maintain, at all times during performance of the
services under this Agreement, an Owner and Licensee's Protective Liability
insurance policy for bodily injury and property damage, including death, which
may arise in the performance of Licensee's services under this Agreement.
Coverage shall be on an occurrence basis with a limit not less than $1,000,000
per occurrence, and the policy shall be issued by the same insurance company
that issues Licensee's Commercial General Liability insurance.
Automobile Liability
Licensee shall maintain Commercial/Business Automobile Liability insurance
with a combined single limit for bodily injury and property damage of not less
than $1,000,000 each occurrence with respect to Licensee's owned, hired, and
non-owned vehicles assigned to or used in performance of Licensee's work.
Coverage will be at least as broad as coverage code 1, "any auto", (Insurance
Service Office, Inc. Policy Form CA 00011293, or any replacements thereof).
Such insurance shall include coverage for loading and off-loading hazards. If
hazardous substances, materials or wastes are to be transported, MCS 90
endorsement shall be included and $5,000,000 per accident limits for bodily
injury and property damage shall apply.
Worker's Compensation
Licensee shall carry Workers' Compensation insurance to cover obligations
imposed by federal and state statutes having jurisdiction of Licensee's
employees engaged in the performance of the services; and, Employer's Liability

insurance of not less than $100,000 for each accident, $100,000 disease for
each employee, and $500,000 disease policy limit.
By execution of this Agreement, Licensee certifies as follows:
"I am aware and understand the provisions of A.R.S. § 23-900 et seq.
which requires every employer to be insured against liability for workers'
compensation or to undertake self-insurance in accordance with the
provisions of this chapter, and I will comply with such provisions before
commencing the performance of the services of this Agreement "
If Licensee has no employees for whom workers' compensation insurance is
required, Licensee shall submit a declaration or affidavit to Licensor so stating
and covenanting to obtain such insurance if and when Licensee employs any
employees subject to coverage.
In case any services are subcontracted, Licensee will require subcontractors to
provide Workers' Compensation and Employer's Liability insurance to at least
the same extent as required of Licensee.
Certificates of Insurance
Prior to commencing services under this Agreement, Licensee shall furnish
Licensor with Certificates of Insurance, or formal endorsements as required by
the Agreement, issued by Licensee's insurer(s), as evidence that policies
providing the required coverages, conditions and limits required by this
Agreement are in full force and effect. The form of the certificates of insurance
and endorsements shall be subject to the approval of the Apache Junction City
Attorney's Office, shall comply with the terms of this Agreement, and shall be
issued and delivered to City Attorney, City of Apache Junction, 300 East
Superstition Boulevard, Apache Junction, AZ 85119.
In the event any insurance policies required by this Agreement are written on a
"claims made" basis, coverage shall extend for two (2) years past completion
and acceptance of Licensee's services and as evidenced by annual Certificates
of Insurance.
If a policy does expire during the life of the Agreement, a renewal certificate
must be sent to Licensor thirty (30) calendar days prior to the expiration date.
Policies or certificates and completed forms of Licensor's Additional Insured
Endorsement (or a substantially equivalent insurance company form acceptable
to the City Attorney) evidencing the coverage required by this section shall be
filed with the Licensor and shall include the Licensor as an additional insured
party. The policy or policies shall be in the usual form of a public liability
insurance, but shall also include the following provision.

"Solely as respects work done by or on behalf of the named insured for the
City of Apache Junction, it is agreed that the City of Apache Junction and
its officers and employees are added as additional insureds under this
policy."
Insurance required herein shall not expire, be canceled, or materially changed
without thirty (30) calendar days' prior written notice to Licensor.
11. HAZARDOUS SUBSTANCE INDEMNIFICATION: Licensee
represents and warrants that its use of Premises will not generate any
hazardous substance, and it will not store or dispose on Premises nor transport
to or over Premises any hazardous substance with the exception of cleaning
solvents in amounts that violate applicable laws. Licensee represents and
warrants• (1) that Licensee nor, to Licensee's knowledge, any third party has
used, generated, stored or disposed of, or permitted the use, generation,
storage or disposal of any hazardous substance on Premises; and (2) that
Licensee will not, and will not permit any third party, to use, generate, store or
dispose of any hazardous substance on Premises. Licensor represents and
warrants: (1) that Licensor nor, to Licensor's knowledge, any third party has
used, generated, stored or disposed of, or permitted the use, generation,
storage or disposal of any hazardous substance on Premises; and (2) that
Licensor will not, and will not permit any third party to use, generate, store or
dispose of any hazardous substance on Premises. Licensor and Licensee each
agree to defend, indemnify and hold harmless the other and the other's partners,
affiliates, agents and employees against any losses, liabilities, claims and/or
costs (including reasonable attorney fees and costs) arising from any breach of
any representation or warranty contained in this paragraph. "Hazardous
Substance" means any substance or material defined or designated as a
hazardous or toxic waste, hazardous or toxic material, hazardous or toxic or
radioactive substance, or other similar term by any federal, state, or local
environmental law, regulation or rule presently in effect, as such laws,
regulations or rules may be amended from time to time; and shall also include
but not be limited to any substance which after release into the environment will
or may reasonably be anticipated to cause sickness, death or disease. Failure to
maintain the insurance coverage set forth wherein shall constitute a default
under this Agreement.
12 NOTICES: Except as otherwise required by law, any notice
required or permitted under this Agreement shall be in writing and shall be given
by personal delivery, or by deposit in the United States mail, certified or
registered, return receipt requested, postage prepaid, addressed to the Parties
at their respective addresses set forth below, or at such other address as a
Party may designate in writing pursuant to the terms of this Section, or by
telecopy or telefacsimile machine, or by any nationally recognized express or

overnight delivery service (e.g. Federal Express or UPS), delivery charges
prepaid:

13. NON-WAIVER: Failure of Licensor to insist on strict performance of
any of its rights hereunder shall not waive such rights, but Licensor shall have
the right to enforce such rights at any time and take such action as might be
lawful or authorized hereunder, either in law or equity. The receipt of any sum
paid by Licensee to Licensor after a breach of this License shall not be deemed a
waiver of such breach unless expressly set forth in writing.
14. AUTHORITY TO CONTRACT: Licensor and Licensee represent that
each, respectively, has full right, power, and authority to execute License.
15. FORCE MAJEURE: Neither Licensor nor Licensee , as the case may
be, shall be considered not to have performed its obligations under this
Agreement in the event of enforced delay (an "Enforced Delay") due to causes
beyond its control and without its fault or negligence or failure to comply with
Applicable Laws, including, but not restricted to, acts of God, fires, floods,
epidemics, pandemics, quarantine, restrictions, embargoes, labor disputes, and
unusually severe weather or the delays of subcontractors or materialmen due to
such causes, acts of a public enemy, war, terrorism or act of terror (including
but not limited to bio-terrorism or eco-terrorism), nuclear radiation, blockade,
insurrection, riot, labor strike or interruption, extortion, sabotage, or similar
occurrence or any exercise of the power of eminent domain of any governmental
body on behalf of any public entity, or a declaration of moratorium or similar
hiatus (whether permanent or temporary) by any public entity directly affecting
the License. In no event will Enforced Delay include any delay resulting from
unavailability for any reason of labor shortages, or the unavailability for any
reason of particular Licensees, subcontractors, vendors or investors desired by
Licensee in connection with the License Agreement. Licensee agrees that
Licensee alone will bear all risks of delay which are not Enforced Delay. In the
event of the occurrence of any such Enforced Delay, the time or times for
performance of the obligations of the Party claiming delay shall be extended for

a period of the Enforced Delay; provided, however, that the Party seeking the
benefit of the provisions of this Section shall, within thirty (30) calendar days
after such Party knows or should know of any such Enforced Delay, first notify
the other Party of the specific delay in writing and claim the right to an extension
for the period of the Enforced Delay, and provided further that in no event shall a
period of Enforced Delay exceed ninety (90) calendar days.
16. ENTIRE AGREEMENT: This instrument contains the entire
agreement between the Parties hereto with respect to the subject matter
contained in it and supersedes all prior and contemporaneous agreements,
discussions and representations related thereto. No supplement, modification
or amendment hereof shall be binding and effective unless in writing and signed
by all of the Parties
17. SEVERABILITY: Parties each believe that the execution, delivery
and performance of this Agreement are in compliance with all applicable laws.
However, in the unlikely event that any provision of this Agreement is declared
void or unenforceable (or is construed as requiring Licensor to do any act in
violation of any applicable laws, including any constitutional provision, law,
regulation, or city code), such provision shall be deemed severed from this
Agreement and this Agreement shall otherwise remain in full force and effect;
provided that this Agreement shall retroactively be deemed reformed to the
extent reasonably possible in such a manner so that the reformed agreement
(and any related agreements effective as of the same date) provide essentially
the same rights and benefits (economic and otherwise) to the Parties as if such
severance and reformation were not required. Unless prohibited by applicable
laws, the Parties further shall perform all acts and execute, acknowledge and/or
deliver all amendments, instruments and consents necessary to accomplish and
to give effect to the purposes of this Agreement, as reformed.
18. GOVERNING LAW, VENUE AND ATTORNEY FEES: The terms and --
conditions of this Agreement shall be governed by and interpreted in
accordance with the laws of the State of Arizona. Any action at law or in equity
brought by either Party for the purpose of enforcing a right or rights provided for
in this Agreement shall be tried in a court of competent jurisdiction in Pinal
County, Arizona. The Parties hereby waive all provisions of law providing for a
change of venue in such proceeding to any other county. In the event either
Party shall bring suit to enforce any term of this Agreement or to recover any
damages for and on account of the breach of any term or condition in this
Agreement, it is mutually agreed that the prevailing Party in such action shall
recover all costs including reasonable attorneys fees to be determined by the
court in such action.
19. BINDING EFFECT/ASSIGNMENT: The obligations and rights
created in this Agreement are binding upon and shall inure to the benefit of the

Parties and their successors, assigns and legal representatives. Neither Party
may assigns its rights under this Agreement without the prior written approval of
the other Party. Such successor or assignee shall assume, in writing, all duties
and obligations hereunder of the prior Party and shall further agree to be bound
by and to fully perform the terms of this Agreement.
20. CONFLICT OF INTEREST: This Agreement is subject to, and may be
terminated by City in accordance with, the provisions of A.R.S § 38-511.
IN WITNESS WHEREOF, the parties have caused Lease to be signed by
their duly authorized representatives as of this day of

Whereas, during their lifetime,an estimated 1 in 3 women will experience
domestic violence,and
Arizona experienced 109 domestic violence related deaths in 2014,
and
Whereas, domestic violence in any community may exist as a hidden,silent,and
often unrecognized reality that is often not reported to authorities,
and
Whereas, there is a need to challenge the assumptions made about domestic
violence,become proactive in preventing domestic violence and hold
offenders accountable;and
Whereas, the City of Apache Junction,the Apache Junction Police Department,
the Community Alliance Against Family Abuse(CAAFA)and other
agencies,organizations and state coalitions across Arizona and the
nation are committed to preventing domestic violence by promoting
prevention awareness campaigns,educating the community and
advocating for victim's rights

The Planning Division has no objections to this one-time event As in the past, we would simply remind the event
organizers to allow access to neighboring businesses during the event, to keep all event related temporary signage on
private property and not within the right-of-way, or located in such a way that it obstructs pedestrian or vehicular
traffic; and to remove all such signage immediately following the event We also highly recommend that any dirt areas
be watered down prior to the event to mitigate dust issues. Thanks.

ARTICLE 8-8: LICENSING REQUIREMENTS FOR SPECIAL
COMMUNITY AND PRIVATE CIVIC EVENTS

§ 8-8-1 PURPOSE & INTENT. This article is intended to regulate community and civic events
for the benefit of its citizens and visitors which enable the City to
(1) Protect life, health,property and general welfare of the City,
(2) Minimize expenditures of public funds for community and civic events;
(3) Minimize business interruptions during events while promoting business growth and
economic development,
(4) Implement a high profile,proactive approach to local economic development through
public/private partnerships,
(5) Provide a range of community and civic events open to everyone to improve the quality of
life in the City,
(6) Facilitate the redevelopment and revitalization of the downtown and older commercial areas,
(7) Assist the City in implementing its overall economic development goals,
(8) Provide a consistent set of standards for community and civic events,.
(9) Compete on an equal basis with other communities for tourism and other economic
development projects
§ 8-842 DEFINITIONS.
For the purpose of this article, the followmg definitions shall apply unless the context clearly
indicates or requires a different meamng
COMMUNITY EVENT. An activity or gathenng event not exceedmg 4 consecutive days in any /IN
calendar year which is conducted,organized and sponsored selely by non-profit organizations or
for-profit organizations and is open to all participants on an equal basis The COMMUNITY

EVENT. An activity or gathenng with the purpose of promoting or benefitting the city and its
residents and/or the sponsonng organizations An application will be required for any activity or
gathenng which meets any of the following criteria .
(1) Use of or impact/encroachment on any city street, sidewalk, alley or other right-of-way area
(which includes any indirect impact that will affect the flow of typical vehicular or pedestrian
traffic)that requires more than one city department approval, or will require the approval of
more than one city department for inspections, assistance or permits,
(2) Is likely to draw a crowd to a venue not properly suited and has the potential to require
special accommodations,regulations, traffic control devices or public service works or safety
personnel,
(3) Presence or participation of any one or more multiple for-profit or nonprofit vendors that
intend to make a sale, advertise for sale, solicit sales, offer for sale, distribute
,or provides a service or offer/advertise to provide a
service na . t already pr perly licensed t„ do s„ by the City„f Apache Junction er This
provision does not apply to vendors already in possession of a valid city license issued under
this code or city tax code,.

(4) Activities such as weddings, funerals, private yard sales, car shows or charity car washes or
any event that is a programmed event of a city department shall not be considered an event
FOR PROFIT ORGANIZATION. Any entity or corporation which has been established,
maintained,or conducted for the purpose of making a profit.
NON-PROFIT ORGANIZATION. Any religious, social, fraternal or civic organization which
has been designated as a 501C organization by the Internal Revenue Service and which has a
valid operating license as provided for in Vol. I, Chapter 8 or the City tax code § 8 2 1(C)
Should questions as to form of business arise, interpretations of this section shall be based upon
form indicia contained in the following.
Arizona Revised Statutes, Internal Revenue Code Rules and Regulations prescnbed by the
Internal Revenue Service.
PRIVATE EVENT. An event not exceeding 'I consecutive days m any calendar year which is

SPECIAL CIVIC EVENT. An activity or gathering event not exceedmg 4 consecutive days m
any calendar year which is conducted, organized and sponsored solely by the City or in
coniunction with a non-profit organization, has been approved as such by the Council dunng the
annual budget process and which is open to all participants on an equal basis. The special event
§ 8-843 SPECIAL CIVIC EVENT SPONSOR REQUIREMENTS.
(A) A non-profit The sponsor of any special civic event which includes vendors shall pay a fee
of$50 per day. This fee shall be paid no later than 10 working days in advance of the first day of
the event. A penalty of$5 per day shall be assessed for each working day the initial payment is
late begmmng with the working day immediately followmg the initial deadlme The special civic
event fee shall not apply to those events which do not include vendors or city events
(B) A non-profit the sponsor of any special civic event shall provide the City Clerk with the
name, address and telephone number of the event coordinator or contact person at least 30
working days in advance of the event.
(C) The sponsor of any special civic event shall obtain a completed vendor application, on a
form to be provided by the city, from each participating vendor and obtain a copy of the vendor's
driver's license for any vendor(s) not already properly licensed with the city The sponsor shall
provide the city with these completed forms in addition to a complete list containing name,
address and telephone number of each participating vendor no later than eight(8)working days
following the last day of the event

(D) Any food truck vendor, as defined in this chapter, that is present at a civic event shall
follow the process in Article 8-10 of this chapter
§ 8-844 SPECIAL CIVIC EVENT VENDOR REQUIREMENTS.
(A) All special civic event vendors who engage or attempt to engage in a sale at a special civic
event or who shall advertise or solicit services or products shall complete a special civic event
vendor application in order to participate in the event The completed form shall be submitted to
the event sponsor
(B) Non-profit organizations who participate as vendors at special civic events shall not be
required to complete an special event application if their participation is limited to the
distribution of literature or information relative to their organization
(C) Massage therapists who wish to participate as a vendor at a special civic event shall be
permitted to do so provided there is no charge for the service and that such service is provided in
conjunction with a person holding a valid city business license and authorized by the laws of this
state to practice medicine, osteopathy, chiropractic,podiatry,naturopathy or acupuncture.

(D)Any food truck vendor, as defined in this chapter,that is present at a civic event shall follow

§8-8-45 COMMUNITY EVENT SPONSOR REQUIREMENTS.
(A) The sponsor of any community event which includes vendors shall remit to the city a fee of
$15 per vendor for those vendors not already properly licensed for each event The sponsor shall
be responsible for collecting this fee from each participating vendor. These fees shall be paid in
total to the city no later than 7 working days following the last day of the event. A penalty of$5
per day shall be assessed for each working day that the total fee remains unpaid.
(B) The sponsor of any community event shall provide the City Clerk Department with the
name, address and telephone number of the event coordinator or contact person at least 30
working days in advance of the event.
(C) The sponsor of any special community event shall obtain a completed vendor application,

fee provided they are engaging in an activity covered by the license

RECREATIONAL VEHICLE PARKS, RV-PARKS-AND MOBILE
HOME AND RV RECREATIONAL VEHICLE SUBDIVISIONS,
AND ALL OTHER RESIDENTIAL SUBDIVSIONS
8-9-1 PURPOSE & INTENT This article is intended to regulate sales and events within
Mobile Home and Recreational Vehicle Parks, Mobile Home and Recreational Vehicle
Subdivisions, and all other residential subdivisions for the benefit of residents and visitors and
which enable the City to.
(1) Protect life, health,property and general welfare of the City,
(2) Enable residential areas, mobile home and recreational vehicle communities to host a
range of events for community members whether open to the general public or not so as
to improve the quality of life m the City;
(3) Provide a consistent set of standards for sales and events within Mobile Home Parks,
Recreational Vehicle Parks, Mobile Home Subdivisions, Recreational Vehicle
Subdivisions and all other residential subdivisions
§ 8-942 DEFINITION.
For the purpose of this article,the following definition shall apply unless the context clearly
indicates or requires a different meaning.
MARKET DAYS, COUNTRY STORE,BAZAAR DAYS AND THE LIKE. An event at a
temporary location not exceeding 1 day per week conducted within a mobile home park, travel
trailer park,recreation vehicle park or mobile home,recreational vehicle or residential
subdivision for the purpose of providing goods and services, ancillary retail sales and activities
intended for park residents and non-park residents, hereafter referred to as MARKET DAYS

SPONSOR Any non-pi ofit organization,for-profit corporation, Home Owners Association
or any other legal entity which is legally formed and obligates itself to organize, operate
and manage a Market Days event(s)

§ 8-9-3 UNLAWFUL PRACTICES OF EVENT SPONSORS.
It is unlawful for any sponsor of a market days event to permit any vendor to set up at the event
without vendor having first met all city licensing requirements

4 8-9-4 MARKET DAYS SPONSOR REOUIREMENTS.
(A) Park managemen+ if acting *The sponsor of any market day events shall apply for and
obtain a Transaction Privilege Tax License from the City Clerk prior to conducting or allowing

park-seensered-and-ambertzed-ancillary retail sales(e g.,market days, craft/art sales,
fundraisers and temporary food vendors)
(B) Park-management The sponsor shall comply with required sales tax administration and
collection processes and shall be responsible for the collection and remittance of city sales tax
and shall obtain a completed vendoi application, on a form to be provided by the city, fiom each
participating vendoi and obtain a copy of the vendor's driver's license foi any vendor(s)not
already property licensed The sponsor shall provide the city with these completed forms in
addition to a complete list containing name, address and telephone number of each participating
vendor no later than 8 working days following the last day of the event

working days following the last day of the sale or activity
