Subject: Agreement for equipment purchase with Air Comm Corporation for

This agreement is with Air Comm Corporation for 2 police mobile overt camera trailers
and camera modules with interface capabilities available through the City of Glendale
Cooperative Contract #C23-0225.
In accordance with the terms and conditions of the agreement, the City shall
compensate Air Comm Corporation for equipment:
Police mobile overt cameral trailers (2) - $118,827.84
Camera Modules (2) - $14,697.28
Total not to exceed - $133,525.12
The warranty for the equipment against defective workmanship or materials is for a
period of 2 years for the trailers and camera and a 12-month warranty on the
batteries. The funding will be from the capital facilities budget and the expected
Iifespan for the equipment is 10-15 years for trailers and 5 years for cameras.
The Apache Junction Police department requests the council adopt the agreement
which authorizes the purchase of two police mobile overt camera trailers and camera
modules.
EQUIPMENT PURCHASE AGREEMENT WITH AIR COMM CORPORATION FOR
POLICE SURVEILLANCE TRAILER
THIS AGREEMENT is made as of the day of December 2023 (the
"Effective Date") by and between the CITY OF APACHE JUNCTION, an Arizona
municipal corporation ("City"), and AIR COMM CORPORATION, a Utah
corporation, ("Supplier"), both of which may be hereinafter referred to
collectively as the "Parties", or individually as "Party".
RECITALS
A. City desires to retain a vendor to provide two (2) surveillance trailers
with interface capabilities available through the City of Glendale Cooperative
Contract#C23-0225 (on file in the City's Finance Department) and two (2) Avigilon
H5A Multi-sensor 12Mp Camera Module (the "Equipment") and to make payment
for the same in accordance with the terms and conditions set forth in this
Agreement, including all attachments and addenda which are appended hereto
by mutual agreement of the Parties.
B. The open market procedures have been satisfied to the extent they
apply.
C. The Parties have set forth below contemplated Equipment Supplier will
provide City, including all payment terms.
AGREEMENT
NOW, THEREFORE, in consideration of the Recitals noted above, the
mutual covenants and conditions below, and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged,the
Parties agree as follows:
1. AGREEMENT: Supplier hereby sells, conveys, and transfers to City
all rights, title and interest in and unto the machinery, equipment and other
personal property, hereinafter referred to collectively as equipment, detailed in
Exhibits A and B.
2. SUPPLIER'S DUTIES: Supplier shall provide the Equipment and
make delivery of such equipment as detailed in Exhibits A and B.
3. COMPENSATION: In accordance with the terms and conditions of
this Agreement, City shall compensate Supplier for equipment in an amount not
to exceed One Hundred Eighteen Thousand Eight Hundred Twenty Seven Dollars
and Eighty Four Cents ($118,827.84) in accordance with Exhibit A for two
surveillance trailers and an amount not to exceed Fourteen Thousand Six
Hundred Ninety Seven Dollars and Twenty Eight Cents ($14, 697.28) in
accordance with Exhibit B for two camera modules,for a grand total not to exceed
One Hundred Thirty Three Thousand Five Hundred Twenty Five Dollars and
Twelve Cents ($133,525.12).
4. SUPPLIER BILLING: Supplier shall bill City a total amount not to
exceed Section 2 above. City shall pay such billings within thirty (30) calendar
days of the date of receipt.
5. TERM/RENEWAL: The Term of this Agreement starts on December
19, 2023, and ends on June 30, 2024.
6. DELIVERY AND ACCEPTANCE: Upon acceptance by the City, which
acceptance shall be identified by City taking possession of the Equipment, City
shall have thirty (30) calendar days to examine such Equipment and its
functionality. Should City have any product quality concerns, it shall within thirty
(30) calendar days after delivery have the unconditional right for a full refund.
Failure to notify Supplier within this period of any concerns shall be deemed as
acceptance of the individual Equipment and its functionally.
7. WARRANTY: Contractor shall guarantee the Equipment against
defective workmanship or materials for a period of 2 years for the trailers and
cameras and a 12 month warranty on the batteries. (Warranty on file with the
Police Department's Lt. D. Saldana).
8. INSURANCE: Supplier, at its own expense, shall purchase and
maintain the herein stipulated minimum insurance with companies duly licensed,
possessing a current A.M. Best, Inc. Rating of B++6, or approved unlicensed in
the State of Arizona with policies and forms satisfactory to City.
All insurance required herein shall be maintained in full force and effect until all
installation work required to be performed under the terms of the Agreement is
satisfactorily completed and formally accepted; failure to do so may, at the sole
discretion of City, constitute a material breach of this Agreement.
Supplier's insurance shall be primary insurance as respects the City, and any
insurance or self-insurance maintained by City shall not contribute to it.
Any failure to comply with the claim reporting provisions of the insurance policies
or any breach of an insurance policy warranty shall not affect coverage afforded
under the insurance policies to protect City.
The insurance policies, except Workers' Compensation, shall contain a waiver of
transfer rights of recovery (subrogation) against City, its agents, officers, officials
and employees for any claims arising out of Contractor's acts, errors, mistakes,
omissions, work or service.
The insurance policies may provide coverage which contains deductibles or self-
insured retentions. Such deductible and/or self-insured retentions shall not be

applicable with respect to the coverage provided to City under such policies.
Supplier shall be solely responsible for the deductible and/or self-retention and
City, at its option, may require supplier to secure payment of such deductibles or
self-insured retentions by a surety bond or an irrevocable and unconditional letter
of credit.
City reserves the right to request and to receive, within ten (10) working days,
certified copies of any or all of the herein required insurance policies and/or
endorsements. City shall not be obligated, however, to review same or to advise
Supplier of any deficiencies in such policies and endorsements,and such receipt
shall not relieve Supplier from, or be deemed a waiver of, City's right to insist on
strict fulfillment of Supplier's obligations under this Agreement.
The insurance policies, except Workers' Compensation and Professional
Liability,required by this Agreement,shall name City,its agents,officers,officials
and employees as additional insured parties.
REQUIRED COVERAGE
Commercial General Liability
Supplier shall maintain Commercial General Liability insurance with a limit of not
less than$1,000,000 for each occurrence with a$2,000,000 Products/Completed
Operations Aggregate and a$2,000,000 General Aggregate limit. The policy shall
Include coverage for bodily injury, broad form property damage, personal injury,
products and completed operations and blanket contractual coverage including,
but not limited to, the liability assumed under the indemnification provisions of
this Agreement, which coverage will be at least as broad as that on Insurance
Service Office, Inc. Policy Form No. CG 00011093,or the equivalent thereof.
Such policy shall contain a severability of interest provision and shall not contain
a sunset provision or commutation clause, nor any provision which would serve
to limit third party action over claims.
The Commercial General Liability additional insured endorsement shall be at
least as broad as the Insurance Service Office, Inc.'s Additional Insured, Form B,
CG 20101185,or the equivalent thereof,and shall include coverage for Supplier's
operations and products and completed operations.
If required by this Agreement, if Supplier sublets any part of the work,services or
operations, Supplier shall purchase and maintain,at all times during prosecution
of the work, services or operations under this Agreement, Supplier's Protective
Liability insurance policy for bodily injury and property damage, including death,
which may arise in the prosecution of Supplier's work, service or operations
under this Agreement. Coverage shall be on an occurrence basis with a limit not
less than $1,000,000 per occurrence, and the policy shall be issued by the same

insurance company that issues Supplier's Commercial General Liability
Insurance.
Certificates of Insurance
Prior to commencing work or services under this Agreement, Supplier shall
furnish City with certificates of Insurance,or formal endorsements as required by
the Agreement, issued by Supplier's insurer(s), as evidence that policies
providing the required coverages, conditions and limits required by this
Agreement are in full force and effect. The form of the certificates of insurance
and endorsements shall be subject to the approval of the Apache Junction city
attorney's office, shall comply with the terms of this Agreement, and shall be
issued and delivered to The "City Attorney's Office, City of Apache Junction, 300
East Superstition Boulevard,Apache Junction,AZ 85119."
In the event any insurance policies required by this Agreement are written on a
"claims made"basis, coverage shall extend for two(2)years past completion and
acceptance of Supplier's work or services and as evidenced by annual
certificates of insurance.
All certificates of insurance shall be identified with bid serial number and title.
policies or certificates and completed forms of City's additional insured
endorsement(or a substantially equivalent insurance company form acceptable
to the city attorney)evidencing the coverage required by this section shall be filed
with the City and shall include the City as an additional insured Party. The policy
or policies shall be in the usual form of a public liability insurance, but shall also
Include the following provision:
"Solely as respects work done by or on behalf of the named insured
for the City of Apache Junction, it is agreed that the City of Apache
Junction and its elected officials, appointees and employees are
added as additional insured parties under this policy."
Insurance required herein shall not expire, be canceled, or materially changed
without thirty(30) calendar days' prior written notice to City.
9. APPLICABLE LAW AND VENUE: The terms and conditions of this
Agreement shall be governed by and interpreted in accordance with the laws of
the State of Arizona. Any action at law or Inequity brought by either Party for the
purpose of enforcing a right or rights provided for in this Agreement,shall be tried
In a court of competent jurisdiction in Pinal County, State of Arizona. The Parties
hereby waive all provisions of law providing for a change of venue in such
proceeding to any other county. In the event either Party shall bring suit to
enforce any term of this Agreement or to recover any damages for and on account
of the breach of any term or condition in this Agreement,it is mutually agreed that
the prevailing party in such action shall recover all costs including: all litigation

and appeal expenses, collection expenses, reasonable attorney fees, necessary
witness fees and court costs to be determined by the court in such action.
10. TIME IS OF THE ESSENCE: Time is of the essence with respect to all
provisions in this Agreement. Any delay in performance by either Party shall
constitute a material breach of this Agreement.
11. PROHIBITION TO CONTRACT WITH PARTIES WHO ENGAGE IN
BOYCOTT OF THE STATE OF ISRAEL: The Parties acknowledge A.R.S. §§ 35-393
through 35-393.03, as amended, which forbids public entities from contracting
with anyone, or any business, who engage in boycotts of the State of Israel.
Should Supplier or any of its subcontractors under this Agreement engage in any
such boycott against the State of Israel, this Agreement shall be deemed
automatically terminated by operation of law. Any such boycott is a material
breach of contract.
12. CERTIFICATION PURSUANT TO A.R.S. § 35-394. In accordance with
Arizona Revised Statutes § 35-394, Supplier hereby certifies and agrees that
Supplier does not currently and shall not for the duration of this Agreement use:
1) the forced labor of ethnic Uyghurs in the People's Republic of China, 2) any
services or goods produced by the forced labor of ethnic Uyghurs in the People's
Republic of China, and/or 3) any contractors or subcontractors that use the
forced labor or any services or goods produced by the forced labor of ethnic
Uyghurs in the People's Republic of China. If Supplier becomes aware during the
term of this Agreement that Supplier is not in compliance with this section, then
Supplier shall notify the City within five (5) business days after becoming aware
of such noncompliance. If Supplier does not provide the City with written
certification that Supplier has remedied such noncompliance within one hundred
eighty (180) days after notifying the City of such noncompliance, this Agreement
shall terminate, except that if the Agreement termination date occurs before the
end of such one hundred eighty (180) day remedy period, this Agreement shall
terminate on such contract termination date.
13. CONFLICTS OF INTEREST: This Agreement is subject to, and may be
terminated by City in accordance with, the provisions of A.R.S. § 38-511.
IN WITNESS WHEREOF the Parties hereto have caused this Agreement to
be signed by their duly authorized representative.

Re: Associate Magistrate Michael R. McVey- Request for Re-appointment
Hon. Michael R. McVey has been our Associate Magistrate since January 1 , 2023. His
current contract ends at the end of this year. He previously served as an Assistant City
Prosecutor (Phoenix), an Arizona Assistant Attorney General, and a Maricopa County
Deputy and Chief Deputy County Attorney. He served as a Superior Court Judge in
Maricopa County for 20 years in multiple divisions (all divisions except probate).
Judge McVey has done an outstanding job as our Associate Magistrate. He has helped
with our very large volume of cases, and his hard work has helped us avoid the need for
another full-time magistrate. He has also been counted on to preside over the court in
the absence of the Presiding Judge. I am requesting that he be given a 4-year term,
which is the same as the Presiding Judge. Judge McVey works 19 hours per week,
making him a part time employee and not entitled to paid holidays or vacations and not
entitled to health insurance and any other benefits received by full-time employees.
Judge McVey has requested, and is deserving of, an annual salary of$71 ,000 per year.
I strongly agree that this amount is appropriate, and well-earned, and I have agreed to
that request. We would not be able to find any replacement with anywhere near the
qualifications, skills and dedication to the City of Apache Junction and we are fortunate
that he desires to continue to serve our great City and its Municipal Court.
Attached is the signed contract that was negotiated and signed by each candidate.

FIRST AMENDMENT TO EMPLOYMENT AGREEMENT WITH
MICHAEL MCVEY FOR APACHE JUNCTION MUNICIPAL
COURT ASSOCIATE MAGISTRATE SERVICES
THIS AMENDMENT is made and entered into this day of ,
2023 ("the Execution Date") by and between the CITY OF APACHE JUNCTION, an
Arizona municipal corporation ("City"), and MICHAEL MCVEY, ("Employee"),
sometimes collectively referred to as the "Parties" or individually as a "Party".
RECITALS
A. On December 7, 2021, the Parties initially entered into an employment
agreement (the "Agreement") under which City hired Employee to provide
associate magistrate services to the municipal court.
B. The Parties desire to extend the term of the Agreement for approximately
four (4) years and increase the annual salary with the same duties being performed
by Employee.
AGREEMENT
NOW, THEREFORE, in consideration of mutual promises contained herein
and other good and valuable consideration, the receipt and adequacy of which is
hereby acknowledged, the Parties agree to amend the Agreement as follows:
A. Section 2. TERM/RENEWAL:
a. This Agreement shall be effective beginning on January 4, 2024 and
shall remain in full force and effect through January 4, 2028.
b. Nothing in this Agreement shall prevent, limit or otherwise interfere
with the right of the City to terminate the services of Employee as
provided by state law.
c. Nothing in this Agreement shall prevent, limit or otherwise interfere
with the right of Employee to resign at any time from employment of
City, subject only to the provisions set forth in Section 3 of the
Agreement.
B. Section 4. SALARY: City agrees to pay Employee for his services rendered
pursuant hereto at an annual base salary of Seventy One Thousand Dollars and No
Cents ($71 ,000.00) and any cost of living increases or base wage adjustments
received by other career employees over the Term hereafter. Payment of said
salary shall be made at the same time and manner as other employees are paid
and shall be paid out of the City's general fund, subject to available revenue and
annual budget appropriation.
C. Except as expressly amended herein, all other terms and provisions of the
Agreement executed by the Parties shall remain in full force and effect until the
Agreement is terminated or all obligations have been performed.
IN WITNESS WHEREOF, the Parties have caused this Amendment to be
signed by their duly authorized representatives as of the day and year first above
written.

SUBJECT: Market Compensation Study Findings and Recommendations
At the city council meeting on June 19, 2023, as part of the Fiscal Year 2023-2024 budget
adoption, council authorized the funding for a compensation study to review pay. The city
selected Public Sector Personnel Consultants (PSPC) to conduct the study. The study included
all city non-sworn positions except for police telecommunications personnel which had a mini
compensation study conducted earlier this fiscal year, much like the sworn personnel.
The overall goal of a compensation study is to ensure the city remains competitive in wages to
ensure it can successfully compete for existing and future employees. It is especially important
in retaining good employees and not losing them to other entities; it is significantly more
expensive to hire and train new employees than to retain existing employees. In addition, the
numerous increases in the state's minimum wage has continued to have a ripple effect on
wages. Between January 1, 2016, and up through January 1, 2025, Arizona State's minimum
wage will have almost doubled, increasing from $8.05hr to $15.00hr.
PSPC conducted a review of comparable positions with the city's comparators which include the
Arizona cities and towns of: Avondale, Buckeye, Casa Grande, Goodyear, Marana, Maricopa,
Mesa, Oro Valley, and Queen Creek.
The research and analysis compared the city's salary group to the salary groups for comparable
positions at each entity. Historically, the city has aimed to be within midmarket (50t" percentile)
of its comparator organizations. This compensation study was prepared with that same goal.
The study results found that:
1) 66% of positions fall -5% or greater below market; 30% are competitive within 5% of
market and 4% are slightly above market.
2) The City's pay ranges were, on average, more than 7% below the market.

3) The last 18 months have seen rapid wage growth especially at entry level; inflation, living
wage and minimum wage initiatives, coupled with higher turnover and scarcity of job
applicants has resulted in greater than average salary increases across all sectors.
4) Implementation considerations should include placing employees on their earned step
within their new salary range, and/or a model that best matches the City's budget to re-
establish pay and pay tables at market average for FY 2024.
In addition, the compensation study found the city's current compensation plan structure
containing sixteen (16) steps of 2.5% each, appears in alignment with the comparator
organizations. The current structure allows for an affordable way to consider movement of
employees up the step range when raises are considered.
Based on the results, and after consultation with city management and the city finance director,
and to implement the compensation results in a timely manner, it is recommended that city
council consider a mid-year adoption of the Amended Fiscal Year 2023-2024 City of Apache
Junction Classification and Compensation Plan, allowing for the mid-year salary adjustments
based on the results of the compensation study and allowing for the necessary budget
appropriations to implement mid-year salary adjustments. In doing so, the city continues to
attain its goal of maintaining its mid-market competitive strategy and there is less risk of the
city falling further behind with a delay in implementation. The recommendation supports on-
going pay increases with minimal risks that can be supported by potential future revenue
growth. The cost to implement the amended classification and compensation plan is $700,000.
The plan would provide an increase for city non-sworn personnel by placing them on the new
step pay plan structure at their current step effective February 21, 2024.
The alternative would be to wait and implement the results of the compensation study as part
of the next fiscal year budget process. This would cause an eight (8) month lag from data results
to implementation. The current climate in which there appears to be a significantly larger
number of jobs than people to fill those jobs is also important to consider in the timing of
implementation.
The timely implementation of the compensation study will allow the city of Apache Junction to
address any issues that prevent it from being market competitive, which is critical to attracting
and retaining the talent needed to achieve organizational goals.
The city will continue to review market data and trends through its compensation strategy on a
biannual basis, and a full classification and compensation study as needed.

On November 8, 2023, City issued a Request for proposal for artificial turf. On November
22, 2023, City received one (1) response from Econosmart Property Services LLC dba
Signature Projects. Staff reviewed the response and found that the vendor was
unresponsive. One response was received via email and unopened.
Staff respectfully requests to reject all responses for P&R 2023-001 and go back out for
bids.
