M. CALL TO PUBLIC
At this time the public has the privilege to address the council with requests, communications, comments
or suggestions relating to city business.All speakers must have already submitted a written "Request to
Speak"form to the city clerk no later than the conclusion of the city manager's report portion of the
agenda. If there is a group speaking on the same item, they should select a spokesperson.All such
remarks shall be addressed to the council as a whole and not to any member thereof. The mayor is
authorized to ask a speaker to stop speaking and leave the podium or to adjourn the meeting if anyone
becomes disorderly, uncivil, makes personal attacks or continues to speak about items that are not
within the jurisdiction of the city after being warned such issues are beyond the jurisdiction of the city to
act. The council may not answer questions of the speaker, discuss the matter with one another, but may,
at the conclusion: 1)respond to criticism by a speaker, 2)ask the city manager to review a matter, 3)
ask the city manager to place the matter on a future agenda. Each speaker must approach the podium,

4' 24-734 Brief summary Of intergovernmental updates from mayor and

Councilmember Cross briefly shared comments on his attendance at the Arizona League of
Cities and Towns Conference. Vice Mayor Schroder commented on the value of attending this
informative Conference, and looks forward to attending again next year. Mayor Wilson shared
his experience of attending the Conference and the opportunity to network with other Mayors
and Counoi|mambaro regarding ohaUanOae other cities are dealing with. He also expressed his
thankfulness for the growth in Apache Junction, and the fact he can call Apache Junction his
home. Councilmember Nesser expressed her pride in Apache Junction receiving the Standard
and Poor Double AA Bond Rating. This is achieved by the Mayor, City Council and Staff all
playing a part in doing the right thing!
G. CITY MANAGER'S REPORT
5. City Manager's Report.
City Manager Bryant Powell shared photos of the Apache Junction booth, set up at the Arizona
League of Cities and Towns Conference, and his experience at the event. He, along with the
Mayor and Council thanked Kayla Fulmer and the Marketing and Communications Team for the
efforts put into this great booth. Ha also shared an update on the upcoming Neighborhood
Meetings beginning soon.
6. 34-694� Presentation and discussion with Arizona Water Company president,
Fred Schneider.
Arizona Water Company President Fred Schneider introduced topics to be covered by Arizona
Water Company staff would include an update on key projects recently completed in Apache
Junction, and highlights regarding the Integrated Demand Management Program: One
VVaier/DurVVater.
Assistant General Manager James Wilson shared some of the key improvement projects over
the past year included the Apache Junction Warehouse and Storage Canopy, the Baseline
Arsenic Removal Facility and Emergency Interconnect, collaboration with the City of Apache
Junction and tha2'inoh services for City Hall, Well No. 14 Pump Rap|aoement, and the addition
of the Operations Training Area at the University Tank Site location.
Water Conservation Coordinator Releuca Mielcheswkis shared updates on the Arizona Water
Company and Apache Junction Water District joint partnership titled "One Water:Our Water"

Integrated Demand Management Program (IDMP). The Demand Management Program is the
next level above a water conservation program. She explained the purpose of this program, and
emphasized the importance of water conservation by the end user, the residents, as well as the
holistic approach that includes the utility companies in the city. Throughout the year of 2023,
twelve (12) public outreach events were completed, and three (3) have been done in 2024.
Upcoming events include a 3 part series workshop, to be held at the Apache Junction Library,
which will cover water resources on statewide water and regulations presented by the Arizona
Department of Water Resources, and the local water resource portfolio presented by Arizona
Water and Apache Junction Water District. Other upcoming events that the IDMP will be
participating in are the Halloween Event with Parks and Recreation on October 26, 2024, the
Painted Sky Park Grand Opening on November 2, 2024, and the Spring 2025 Project Wet Water
Festival.
Ms. Mielcheswkis also shared information on other programs currently offered through Arizona
Water Company which are the Single Family Residential Toilet Rebate Program, and the Free
Water Conservation Kit. More information on these programs can be obtained by visiting the
Company's website: www.azwater.com.
Mayor Wilson inquired on the meaning of a Toilet Tank Bank. Ms. Mielcheswkis explained what
this is and it is a device included in the Water Conservation Kit.
7. 24-736 Announcement of Current Events.
Management Analyst Eli Richardson shared information on the Library Card Sign-up Month
through September, and programs being offered to promote this. He also reminded that the
recruitment process is on-going through September 15, 2024, for Boards and Commission
members. Applications can be completed and submitted through the City's website at
www.apachejunctionaz.gov/boards.

8. 24-626 Presentation and discussion on contract award to Chasse Building Team
for Library restroom remodel, utilizing the 1 GPA Cooperative Contract
#23-15PV-02, in an amount not to exceed $135,620.
Library Director Pam Harrison presented the need for this project at the Library restrooms,
stating some have not been renovated since 1995, and others which are original to the building
from 1986. She explained the details of the project, terms of the contract, and use of Capital
Improvements Project Funds in the amount of$135,620.00.
Council had no questions or comments on this project.

9. 24-652 Presentation and discussion on contract award to FM Solutions
Management for a city facility condition assessment utilizing the City of
Phoenix Cooperative Contract No. CON159213-0 in an amount not to
exceed $131,694.00.
Capital Improvement Plan Program Manager Trina Harrison presented a proposal to enter into
an agreement with FM Solutions for the purpose of creating a Facility Conditions Assessment
Report that identifies the current condition of nineteen (19)city owned facilities. This
assessment will be conducted by gathering all existing known documentation for each facility
and assessing structural, mechanical, electric, and plumbing systems. The Report will identify
any existing deficiencies, necessary improvements, and develop an implementation strategy for
improving, repairing, and upgrading the city owned buildings based on a prioritization of
equipment and system-wide needs. It will also be used to develop a Capital Improvement Plan
by effectively strategizing the maintenance of the existing assets while programming new
projects over the next ten years. Ms. Harrison concluded her presentation with stating Staff
recommends entering into a contract with FM Solutions in an amount not to exceed
$131,694.00.
Council comments included furnished equipment to the contractor, building floor plans, software
costs, inclusion of Rodeo Ground needs, plumbing concerns, location of air handling units,
duration of this project and future presentation once project is complete.
All Council comments were addressed by Ms. Harrison and CEO Curtis Slife with FM Solutions.

The Library hasfour public restroomsin need of renovation. The adult men'sand
women'srestroomsare original to the building's construction in 1986, and the boy'sand
girl'srestroomsare original to the 1995 add ition to the library.
Updatesto the men'sand women'srestroomswould include demolition and installation
offloorand walltile, countertopsand partitions, new faucets, mirrorsand changing
tables, and upgraded LED lighting. In the children'srestrooms, the countertopsand
lighting would be replaced, and new faucetsand changing tableswould be installed.
Staff recommends entering into a contract with Chasse Building Team utilizing 1GPA
Cooperative Contract 23-15PV-02 in an amount not to exceed $135,620.00, which
includesa contingency fee. Thisproject will be paid forthrough the library's
revenue/donation fund.
CONSTRUCTION AGREEMENT BETWEEN CITY OF APACHE
JUNCTION AND CHASSE BUILDING TEAM FOR LIBRARY
RESTROOM REMODEL
THIS AGREEMENT made and entered into by and between the CITY OF
APACHE JUNCTION an Arizona municipal corporation ("City"), and CHASSE
BUILDING TEAM, an Arizona corporation ("Contractor"), sometimes collectively
referred to as the "Parties" or individually as the "Party".
RECITALS
A. Contractor asserts its willingness, ability and qualifications to provide
the services and infrastructure (the "Work") called for in 1 GPA
Cooperative Contract 23-15PV-02 (on file in the city's finance
department) and Contractor's estimate dated July 22, 2024 (see
Exhibit A) (the "Contract Documents").
B. City and Contractor desire to set forth herein their respective
responsibilities and the manner and terms upon which Contractor
shall render such Work.
C. The Work is being procured through a cooperative contract, and
exception to the bidding requirement under Apache Junction City
Code Vol. 1, Chapter 3: Administration, Article 3-7: Procurement
Procedures, or such work is categorically exempt from such process.
AGREEMENT
NOW, THEREFORE, City retains Contractor to perform, and Contractor
agrees to complete the Work in accordance with the terms and conditions set
forth as follows:
1. PROJECT DESCRIPTION: Contractor shall do and perform or cause
to be done and performed in a good workmanlike manner, the Work in
accordance with Exhibit A.
2. PAYMENTS & COMPLETION: The total amount payable by the City
to the Contractor is an amount of One Hundred Twenty Two Thousand Fifty Eight
Dollars and Zero Cents ($122,058.00) (the "Contract Sum") for the performance
of the Work under the Contract Documents except for changes authorized by
properly executed change orders (contingency), which shall not exceed
Thirteen Thousand Five Hundred Sixty Two and Zero Cents ($13,562.00) for a
total not to exceed amount of One Hundred Thirty Five Thousand Six Hundred
and Twenty Dollars and Zero Cents ($135,620.00). All contracts will be operable
for their full term at the rates quoted in the initial bid proposal, unless otherwise
extended in writingthe City. Upon notice that the Workis ready for final
inspection r acceptance, a City representative shall promptly cause a
inspection to be made. Once City finds the Workacceptable under the Contract
Documents, City shall promptly submit for processing a certificate for payment
stating that, to the ` eat of its knowledge, information anbelief e basis of
its observation and inspection, the Workhas been completed in accordance
with e terms and conditions of the Contract Documents and that partial
payment or the entire balance due the Contractor is payable. Final payment

transaction privilege, use and other similar taxes for the Work or portions

PERMITS8. m Unless otherwise provided in 't e Contract
Documents, Contractor shall secure and for ''all permits, government fees,
licenses an inspections necessary forte proper execution and completion of
Workwhich are customarily secured after execution of the contract, and which
re legally required. c` tractor shall give all notices and comply i all laws,
ordinances, rules, regulations and lawful orders of any public authority beari
on the performance of the Work. City permits for`this Work will be provided to
Contractor at no cost. Contractor represents and rr is that any license
necessary to performthe Work underthis Agreement is current and valid.
Contractor understands that the activity describedherein constitutes "doing
sines i " the City of Apache Junction" and Contractor agrees to obtain
business license pursuant to °Chapter 8 of the Apache Junction CityVol. I,
and keep c license current duringthe term of this Agreement and after
termination of this Agreement any time work is performed pursuant to the
warranty r vi i set forth in ectio ontract r `also acknowledges that
the tax provision of the Apache Junction ax<Code, ` , I apply

may> e_required the city code, Any activity by subcontractors within the

privilege and use taxes that are applicable to 't e activities, products and
services provided under this Agreement.
9. INDEPENDENT CONTRACTOR: Contractor shall at all times urin
Contractor's performance _f the services retain Contractor's status as an
independent contr ct r Contractor's l y II under no circumstances
be considered r held to be employees or agents of City, and City shall have n
obligation to pay or withholdstate or federal taxes or provide, workers'
compensation r unemployment insurance for or on behalff them r
Contractor. Contractor` shall'supervise and direct the"delivery at ri la
using its best skill and attention, Except as providedin this Agreement,
Contractor shall be solely responsible for all construction means, methods,
techniques, sequences and procedures, and for coordinating all portions c e

City r the acts and omissions its employees, contr ct r their
agents andemployees and other persons providingany of the materials under
any contract document.
SUPERINTENDENT:10. Contractor shall employ a competent project
superintendent who shall be in attendance at the project site during the
progress of the Work. The superintendent shall represent and be the community
agent of Contractorn nic tingiven to the superintendent shall be as
binding if 'given to Contractor. Important communications shall be confirmed
in writing. The designatedu eri ten en shall be designatedfor each project
and communicated c City before work is performed.
11. PROGRESS SCHEDULE: rac r shall, immediately r
entering into this re ent, generate an estimated pr re s schedule, which
shall be maintained andupdated the project. Work may progressduring
regular City business hours only if it is determined by City not to disturbnormal
operations.

negligence, recklessness or intentional wrongful conduct of Contractor or its

15. INSURANCE:

maintain the herein stipulated ini insurance with companies duly licensed,

All insurance required erein shall be maintained in full force and effect until all
Work or service required o be performed under the terms of the Agreement i
satisfactorily completed n formally accepted; failure to do so may, at the sole

Contractor'sinsurance shall be primary insurance as respects the City, n any
insurance or self-insurance maintained by City shall not contribute to it,
Any failure to comply i e claim reporting r visions of the insurance
policies' r any breachof an insurance licy warranty shall not affect coverage
afforded er the insurance olicie rotect City.
The insurance policies, except Workers' Compensation, shall contain ive
f transfer rights of recovery (subrogation) ai ity, its agents, officers,
officials and employees for any claims arising t of Contractor's acts, errors,
mistakes, omissions, Work or service.
e insurance licie r vi e coverage which contains deductibles or
self-insured retentions. c e cti I and/or self-insured retentions shall not
e applicable with respect c the coverage provided to City under such policies.
Contractor shall be solely responsible for the deductibleand/or self retention
and City, at its option, may require Contractor:to-secure payment of such
deductibles r self-insured retentions by a surety bond or an irrevocable
unconditional letter of credit.
City" reserves the right to request n o receive, within ten ( ) working days,
certified copies of any or all of the herein required insurance policies and/or

order signed by Contractor indicates his agreement therewith. it ,
without invalidating thi construction agreement, order changes in the Work
within e general'scope of thisconstruction agree t consisting of additions,
deletions r other revisions, the construction agreement sum and the
construction re ent being adjustedaccordingly. All such changes in the
Work shall be authorized by Change Order and shall be performedunder the
applicable conditions of i construction agr e t® City representative ll

other Party or"of their employees or agents for whose acts they are legally liable,
claims shall be made in writing to such other Parties withina reasonable time
after the first observance of suchinjury `r damages.
20. PAYMENT & PERFORMANCE BONDS: City shall have the right t
require Contractor't furnish n` covering the faithful performance of the
contract and the payment of all obligations arising hereunder.
® SAFETY: Contractor and/or its subcontractors shall be solely
responsible for job safetyt all times.
22. RIGHTS & REMEDIES: The duties and obligationsimposed y the
Contract Documents and the rights and remedies ie vaila le hereunder shall be in
addition to an not a limitation of an u ies obligations, rights an e i a
otherwise imposed or available by law. No action or failure to act by City or
Contractor shall constitute a waiverf any right r duty affordedof them
under e contract, r shall any actionr failure;t act constitute approval"
f r an acquiescence to any breaches hereunder except as-may be specifically
agreed to in writing.
3. Neither City nor Contractor, as the case may'be,
all be considered not to have performed its obligations under this Agreement
in the event of enforced delay (an "Enforced lay,) e to causes beyond its
control and withoutits fault r negligence or failure to comply' i h applicable
laws, including, 't not restricted t , actsof , fires, floods, epidemics,
pandernics, quarantine, restrictions, embargoes, labor disputes, and unusually
severeweather' r the delays of subcontractors or materialmen due to such
causes, acts of a public enemy, war, terrorism or act of terror (including not
limited o `io®tern ris r ec ® err ris ), nuclear radiation, blockade,
insurrection, riot, labor strike or interruption, extortion, sabotage, ° r similar
occurrence or any exercise of the power< f eminent domain of any governmental`
body on behalf of any public entity, or a declaration of moratoriumr similar
hiatus (whether er e t or temporary) by any public entity directly affecting
e obligations n r this Agreement. In no event will Enforced Delayinclude
any delay resulting from a ` it li for any reason labor shortages, or the
unavailability fray reason of particular Contractors, subcontractors, vendors
or investors desired o tr` ct r in connection it the obligations under`this
Agreement. ontr ctor'agrees that Contractor alone will bear all risks of delay
which are not EnforcedDelay. In the event of the occurrence of any such
Enforced el , the time or times for performance of the obligations of the Party
claiming elay shall be extended for a periodthe Enforced Delay; provided,
however, that the Party seeking the benefitthe provisions of this Section
shall, within'thirty ( ) calendar s after such arty knows or should know of
any such Enforced el y, first notify the other Party of the specific lay in

7. ENTIRE AGREEMENT: This Agreement and any attachments

prior negotiations, representations or;agreements, either express or implied,
written r oral. It is mutually understoodagreed that no alteration or
variation of the terms and conditions of this Agreement shall be valid unless
made in writingn signed y the Parties hereto. Written and signed
amendments shall automatically become part of the supporting oc e` ts, and
all supersede any inconsistent provision therein; provided, however, that any
apparent inconsistency shall be resolved, if possible, by ;construing the
provisions as mutually complementary and supplementary,

SUBJECT: AGREEMENT FOR FACILITY CONDITIONS ASSESSMENT
Staff respectfully requests the mayor and city council consider a proposal to enter into
an agreement with FM Solutions for the purpose of creating a facility conditions
assessment report that identifies the current condition of nineteen city owned facilities.
This assessment will be conducted by gathering all existing known documentation for
each facility and assessing structural, mechanical, electric, and plumbing systems.
This report will identify any existing deficiencies, necessary improvements, and develop
an implementation strategy for improving, repairing, and upgrading the city owned
buildings based on a prioritization of equipment and system-wide needs.
This report will be used to develop our Capital Improvement Plan by effectively
strategizing the maintenance of our existing assets while programming our new projects
over the next ten years.
Staff recommends entering into a contract with FM Solutions utilizing Cooperative
Contract Number RFQu 24-FMD-002 in an amount not to exceed $131,694.00 which
includes a contingency fee.

"Effective ate") by and between the CITY OF APACHE JUNCTION, an Arizona
municipal corporation ("Cit "), and Tt T, LL , a

hereinafter referred collectively as the "Parties" or individually as a "Party."
RECITALS
A. City desires to retain a consultant to assist in a comprehensive
analysis of the City's City' facilities available through the Cit of Phoenix Cooperative
Contract No. 1 1 - (on file;_in the City'sFinance Department) and to
make' ay ent for the same in 'accordance with the terms and conditions set
forth in this Agreement, including all attachments and addenda which are
appended hereto_by mutual agreement the Parties.
B. The Parties have set forth belowcontemplated rvicea Consultant will
provide City,'including a e t terms for such services and products.
AGREEMENT
NOW, THEREFORE, in consideration of the Recitals noted above, the
mutual covenants and conditions elw, and other good and valuable
consideration, the receipt and sufficiency of whichare hereby acknowledged,
the Parties agree as follows.

imposed federal and state -statutes having jurisdiction Consultant's
employees engaged in the performance of the work or services; and,
Employer's Liability insurance of not less than 1 , for each accident,

In case any workis subcontracted, Consultant will require subcontractors to
provide r ers' Compensation and Employer's Liability insurance to at least
the same extent s required of Consultant.
Certificates f Insurance
Prior to commencing or or services under this ree ent, Consultant shall
furnish City with Certificates of Insurance, or formal endorsements as required
y the Agreement,>issued Consultant's insurer(s), as evidence that policies
providing` the required coverages, conditions n limits required y this
Agreement are in full`force and effect. The form of the certificates of insurance
and endorsements shall be subject to the approval of the Apache Junction City
torn' 's Offlice, shall comply it the terms of this Agreement, and shall be
issued and deliveredo City Attorney, City, of Apache Junction, 300 East
Superstition ulevar , Apache Junction, AZ 85119.
In the event any insurance policies required this Agreement are written on
"claims made"e" 'aria, coverage shall extend for two ( ) years past completion
and acceptance of_Consultant's work or services and as evidenced annual
Certificates of Insurance.
If a policy does expire during the life of the Agreement, a renewal certificate
must be sent t ity thirty (3 ) calendar days prior to the expiration date.

Policies or certificates and completedforms of City's Additional Insure
Endorsement (or a substantially equivalent insurance c any form acceptable

all litigation and appeal expenses, collection expenses, reasonable attorney
fees, necessary witness fees and court costs to be determinedbyte court in
such action®
® FORCE MAJEURE:
Neither City nor Consultant, as the case may be,
shall be considered not to have performed its obligations under this Agreement
in the event of enforcedelay (an "Enforced Delay") due to causes beyond its
control and without its fault or negligence or failure to comply with applicable
laws, including, but not restricted to, acts of God, fire, floods, epidemics,
pandemics, quarantine, restrictions, embargoes, labor disputes, and unusually
severe weather or the delays of subcontractors or materialmen due to such
causes, acts of u lic enemy, war, terrorism or act of terror (including u not
limited to io- erroris or eco-terrorism), nuclear radiation, blockade,
insurrection, riot, labor strike or interruption, extortion, sabotage, or similar
occurrence; r any exercise of the power of eminentdomain of any governmental
body on behalf of any public entity, or a declaration of moratorium or similar
hiatus (whether er a ant or temporary) by any public entity directly affecting
e obligations under this Agreement. In no event will Enforced Delay include
any delay resulting from unavailability for any reason of labor shortages, or the
unavailability for any reason of particular Consultants, subcontractors, vendors
or investors desired by Consultant in connection with the obligations under this
Agreement. onsul ant agrees that ons lta t alone will bear all risks of delay
which are not Enforced Delay. In the event of the occurrence of any such
Enforced clay, the time or times for performance of the obligations of the Party
claiming clay shall be extended'fora period of the Enforced Delay; provided,
however, that the Party seeking e benefit of the provisions of this Section
shall, within thirty { } calendar days after such arty knows orshould no o
any such EnforcedDelay, first notify the other Party of the specific delay in
writing and claim the right to an extension for the period of the Enforced Delay;
and providedfurther that in no events all a period of Enforced Delayexceed
ninety'{ } calendar days.

12. INDEMNIFICATION: To the fullest extent permitted by law,
Consultant shall defend, indemnify and holdharmless City, its elected an
appointed officers, officials, agents, and employees from and against any and all
liability including ut not limited to demands, claims, actions, fees, costs and
expenses, including reasonable attorney and expert witness fees, arising from,
or alleged to have arisen from, relating to, arising out of, or alleged to have
resulted from e acts, errors, mistakes, omissions, Work or services o
Consultant, its agents, employees, or any tier of Consultant's subcontractors i
the performance of this ree ent, but only to the extent caused by the
negligence, recklessness or intentional ro ul conduct of Consultant or its
subcontractors in the performance of the Workunder this ree en r any
subcontract. on ultan ' ut defend, hold harmless and indemnify it , its
special districts, elected appointed officers, officials, agents, and
employees shall arise in connection i any claim, damage, loss.or expense
that is attributable o bodily injury, sickness, disease, death, or injury to,
impairment, or destruction of property including loss of use resulting therefrom,
caused by an Consultant'sacts, errors, mistakes, omissions, work or services in
the performance of thisree ent including any employee onsultant, any
tier of Consultant's subcontractor or any other person for whose acts, errors,
mistakes, omissions, Work or services Consultant may be legally liable, but only
tot e extent caused by the negligence, recklessness or intentional wrongful
conduct of Consultant'or any tier of ConsultanVsu contract r or any other
person for whose acts, errors, mistakes, omissions, Work or services
Consultant may be legally liable in the performance of the Workunder this
Agreement or subcontract. The amount and type of ,insurance coverage
requirements set forth herein will in no way be construed as limiting the scope
of the indemnity in this paragraph. he rights and obligationsunder this Section
shall survive termination of this Agreement.
® Consultant shall pay all license, sales, consumer,
transaction privilege, use and other similar-taxes for services provided
Consultant which are legally enacted at the time the obligations under-this
Agreement are performed.
4® PERMITS & FEES: Unless otherwise provided in this ree e ,
Consultant shall secure and pay for all applicable permits, government fees,
licenses and inspections necessary for the proper execution and completion o
services which arecustomarily secured er execution of the Agreement.
Consultant ail give all noticesand comply with all laws, ordinances, rules,
regulations and lawful orders of any public authority bearing on the
performance of the obligations. Consultant represents and warrants_that any
license necessary to perform the services under this ree ent is current and
valid. Consultant understands that the activity described herein constitutes
"doing u ines in the City of Apache Junction" and Consultant agrees to obtain
a business license`pursuant to Chapter 8 of the Apache Junction City Code, Vol.
1, and keepsuch license current during the term of this Agreement. Consultant
also acknowledges that the tax provision of the Apache Junction Tax Code,
Chapter 8A, may also apply and if so, shall obtain a transaction privilege license
and/or other licenses as may be required all applicable laws. Further,
Consultant agrees to payall applicable rivile e and use taxes that are

applicable to the activities, products and services provided under this
Agreement.
15. Records ofConsultant's labor, payroll, and other costs
pertaining tot Is Agreement shall be kept on a generally recognized accounting
basis and made available le to City for inspection on request. Consultant shall
maintain records for a period of at least t ( ) years after termination 'of this
Agreement, and shall make such records available rin that retention'period
for examination or audit by Citypersonnel during regular business hours.
16. RIGHT OF CITYITH OTHERS: Nothing in this
Agreement shall imply City is obligated to obtain the services described herein
with onlythis particular'Consultant.

understand that the relationship between both Parties is that of an independent
contractor.
18. WAIVERF TERMS AND CONDITIONS: e failure of City or
Consultant to insist in any one or more instances on performance of any of the
terms or conditions of this Agreement or to exercise any right r privilege
contained erein shall not be considered as thereafter waiving such terms,
conditions, rights r privileges, and they shall remain in full force and effect.
19. COMPLIANCE WITHT LAWS: Consultant
understands and acknowledges the applicability` of the American with
Disabilities Act, the Immigration of r nt I Act of 1986 and the Drug
Free Workplace Act of 1989 to the services performed' under this Agreement.
As required 4 1, Consultant hereby warrantsits compliance
with all federal immigration laws and regulations that relate to its employees an

Verify program. If Consultant uses any subcontractors in performance of
services, subcontractors shall warrant their compliance with all o oral

214(A), and subcontractors shall further warrant that after hiring an employee,
such subcontractor verifies the employment' eligibility of the employee through
e - eri r ra ® A breachof this warranty shall be deemed a material

termination of this ree ent. Consultant is subject to o penalty of $100 per
day for the first violation, per day for the second violation, and $1,000per
ay forthe't it violation. City at its option may terminate this Agreement after
the third violation. Cons ltant s all not a deemed in material breach of this
Agreement if the Consultant and/or subcontractors establish compliance with
e employment veri cati n provisions of Sectionsand 274B of the federal
Immigration and Nationality Act and the E-Verify requirements contained in

® ENTIRE AGREEMENT: This Agreement and any attachments

prior negotiations, representations or agreements, `either express or implied,
written or oral. It is mutually understood and agreed that no alteration or
variation f the terms and conditions o`f this Agreement shall be valid unless
made in writing and signed the Parties hereto. Written and signed
amendments ll automatically become partof e Supporting Documents, and
shall supersede n inconsistent provision therein; provided, however, that any
apparent inconsistency it be resolved, if possible, by construing
provisions as mutually complementary and supplementary.
. ITY: City and n ulta' t each eliev e execution,
delivery and performance of this Agreementare in compliance with all
applicable laws. However, in the unlikely event that` any provision of this
Agreement is declared void r unenforceable (err is construed as requiring Cit
to do anyact in violation of any applicable laws, including' any constitutional
provision, law, regulation, or'ciy e), such rvisi n shall be deemed severe
from this Agreement and this Agreement shall otherwise remain in full free and
effect; provided thatthis Agreement shall retroactively e deemed reformed
e extent reasonably possiblei such a manner so that the reformed agreement
(and any related agreements effective s of the same ate) provide essentially
the same rights is and enefi (economic and c er `i e) Parties if c
sever an reformationwere not required. Unless prohibited y applicable
laws, the Parties further shall perform all acts and execute, acknowledge and/or
deliver all amendments, instruments and consentsnecessary co lis and
to give effect to the purposes of this Agreement, as reformed.
22. SUCCESSORS- ASSIGNMENT & DELEGATION: City and Consultant
each i themselves, their partners, successorsassigns and legal
representatives to the other Party hereto and t_ the partners, successors,
assigns and legal representatives f such other Party in respect to all
covenants, agreements, and obligations contai in this Agreement. Neither
Party to the Agreement shall assign t e Agreement or sublet it as a whole or
delegate the dutieshereunder, without the "written consent of the other, nor
all Consultant assign any monies due or to become due to it without the
previous ritteconsent City.

shall not relieve Consultant of the responsibility for subsequent correction of
any such errors and the clarification n ambiguities. nsultan shall make
all necessary revisions or corrections resulting errors and omissions on
the part of Consultant without additional compensation.

25. PROHIBITION ICONSULTANTS
IN BOYCOTTF THE STATEI EL: The Parties acknowledge A.R.S. §§ 35-

commemorate the two hundred and thirty-seventh
anniversary of the drafting of the Constitution of the

FOR THE HITCHING POST
An application for a permanent extension of premises has been submitted by
Mohiuddin Mehmood of the Hitching Post located at 2341 N. Apache Trail,
Apache Junction, AZ. 85119.
Correspondence has been received from the planning division, building &
safety division, police department, and fire district, indicating no objections to
the project.
The applicant desires to extend the back patio area 20 feet into the parking lot
utilizing the full length of the patios at approximately 85 feet. Mr. Mehmood
indicated he will be using chain-link fencing with either wood slats or a sound-
mitigating substance he is researching. The liquor license on the patio is a series
6 which includes the bull riding area; the series 7 is strictly for inside Breakfast at
Tina's located next door at 2345 N. Apache Trail.
The Permanent Extension of Premise application requires a public hearing and
for the city council to make a recommendation for approval or denial to the
Arizona Department of Liquor Licenses and Control.

The City Clerk's office has been working extensively regarding the attached application for a Permanent Extension
of Premises for the Hitching Post, located at 2341 N.Apache Trail,Apache Junction,AZ 85119. An incorrect
application was received in the Clerk's office on 7/22/2024, and the correct version was submitted on
8/8/2024. Much research and discussion with the Arizona Department of Liquor License and Control has been
conducted, creating some delay.

An application for a Class C Bingo License has been submitted by Jason Walker for the

The VFW Post 7968 currently holds an active Class B license, but due to exceedance of

An application for a Class B Bingo License has been submitted by Kerry Schrand for the
VFW Post 7968 Auxiliary, located at 250 S. Phelps Drive, Apache Junction, AZ.
The applicant was notified by mail and e-mail of the public hearing and was encouraged
to attend to address any questions council may have.
Correspondence related to inspections of the premises for safety and code compliant
matters have been received from the Apache Junction Police Department, Building and
Safety Division, Planning and Zoning Department, and the Superstition Fire and Medical
District.
All four entities find compliance with the inspection requirements and recommend

The City Clerk's office has received the attached Bingo Application from Jason Walker with the George T. Diehl
VFW Post 7968, located at 250 S. Phelps Drive,Apache Junction,AZ 85120.This organization has held an active
Bingo License for the past several years.This request for a new license is due to the organization changing from a
Class B to a Class C License.This will be the same location, and nothing else has changed.
The current License is due to expire September 30,2024.All Bingo License applications require a Public Hearing
before our City Council. In order for this application to get processed with Arizona Department of Revenue on or
before September 30, 2024, it must go before our Council at the September 17,2024, meeting.

Good Afternoon,
The City Clerk's office has received a new Bingo License application from Kerry Schrand with the VFW Post 7968
Auxiliary, located at 250 S. Phelps Drive,Apache Junction,AZ 85120.
This process actually began back in January 2024, but due to some staffing changes and difficulty in obtaining the
required documents by the applicant, it is just being submitted in completion.
Time is of the essence with this application, as it is due to the Arizona Department of Revenue (ADOR) no later
than September 23, 2024. As all Bingo License applications are required to be presented through a Public Hearing
with our City Council, in order to meet the deadline with ADOR this application must go before our Council at the
September 17, 2024 meeting.
Due to this EXTREME urgency, I am requesting your inspection comments be submitted tome no_tater than_1;.00
p.m.on Tuesday,September 10,2024.

I would like to remind everyone that the Call to the Public is a courtesy and not
required by law.
It is a time for the public to express requests, communications, comments and
suggestions.
Request to speak forms must be completed and handed to the city clerk before the
end of the city manager's report.
All issues shall be presented in a professional manner without personal attacks.
Under the open meeting law the COUNCIL CANNOT ENGAGE IN DISCUSSION
on the issues presented, but may respond to criticism and may direct staff to follow
up with the speaker directly and/or place this matter on a future agenda for council
discussion.
There is a three-minute limit for each speaker.
